David E Brennan

David is a partner in the corporate team and is co-chair of the firm's global tech Group. He focuses on international mergers and acquisitions (public and private) as well as stock market flotations and fundraising transactions, including buyouts, growth and venture capital financing rounds.

With his significant tech experience, David advises a wide range of companies within the technology sector. He works with companies from the start-up phase through their entire life cycle.

Experienced in complex cross-border transactions for both public and private companies, he regularly works with international companies and investors on multi-jurisdictional projects. David is also a member of the firm's US sales team and leads the team responsible for New York.

Clients

David's acts for start-up companies at the beginning of their life cycle, through to established quoted companies. His practice is predominantly international in nature and he therefore regularly coordinates advice across a variety of jurisdictions to ensure a consistent approach, regardless of where the client is doing business.

He has considerable experience advising on public takeovers, public and private acquisitions/disposals and international joint ventures in various sectors, but with a particular emphasis on the tech sector.

  • Acted for Blockchain Coinvestors Acquisition Corp. I (BCSA), a special purpose acquisition company (SPAC), with respect to their $622 Million acquisition of financial technology company, Qenta Inc.
  • Acted for SP Angel Corporate Finance LLP, who acted as Nomad and sole broker, on Spectral MD Holdings, Ltd's Initial Public Offering (IPO) and placing on the AIM market of the London Stock Exchange.
  • Acted for Rimkus Consulting Group Inc. on its major cross-border acquisition of CCi Global.
  • Acted for CarandAway (t/a Karshare), the community car sharing app, on its various seed funding rounds.
  • Acted for Aurrigo International plc, a leading international provider of transport technology solutions, on its successful placing and admission to trading on the AIM market of the London Stock Exchange.
  • Acted for SP Angel Corporate Finance LLP, who acted as Nomad and sole broker, on BiVictriX Therapeutics plc's admission to the AIM market of the London Stock Exchange.
  • Acted for Reorg Research on the acquisition of Aggredium Finance Limited, a specialist in European sub-investment grade credit bond and loan data.
  • Acted for Forward Partners Group plc, the London-based venture capital group, on its oversubscribed fundraise and admission to AIM.
  • Acted for CSX listed PlantX Life Inc. on its £8 million acquisition of Bloomboxclub Limited.
  • Acted for Panmure Gordon (UK) Limited, who acted as nominated adviser and broker, on a placing and open offer for their client Feedback PLC, an AIM quoted company specialising in clinical communication.
  • Acted for Peakspan Capital on its $15 million Series B investment in Simfoni, a procurement and spend automation platform powered by AI.
  • Acted for Reorg Research on the acquisition of FinDox, a leading document, compliance and data management provider.
  • Acted for PeakSpan Capital, a US based growth stage investor focusing exclusively on B2B software businesses, on its $10 million Series B investment in Cognism.
