The primary services I've offered to both international and domestic clients over the past three years are outlined below.

• Advised FIEs (foreign-invested enterprises) on the mass termination with all their employees and deregistration in China, the services provided hereunder including but not limited to formulating the layoff schemes, calculating the severance pay for all employees in China, assisting the HR executive in discussing and negotiating the termination of employments with all employees and preparing the documents required for the mass termination and FIE deregistration, etc. With great importance being attached to the protection of labors by Chinese law, the challenge for such cases is to develop a reasonable and lawful layoff scheme that would not only take into account the economic needs of our clients but would also be considered acceptable by all local employees without arising potential disputes/punishment at the same time. Finally, with our legal advice, our clients exited the Chinese market smoothly in a compliant manner.
• Advised investors on their investments in PRC companies, the service provided hereunder including but not limited to conducting due diligence, issuing DD reports, drafting, providing legal advices from Chinese law perspective and reviewing the necessary legal documentation to give effect to the transactions, etc. The investors I assisted included both domestic and overseas investors.
• Advised overseas clients from different industries on conducting their business activities in China, the service provided hereunder including but not limited to reviewing and drafting contracts to be signed with Chinese partners, writing legal memorandum on the introduction of the regulatory framework of certain industry where the client is conducting activity and the key points of business compliance from Chinese law perspective, etc.
