Yannick Beaudoin is a partner in Gowling WLG’s Montréal office with 25 years of experience helping clients deliver major infrastructure and energy projects across Canada. He advises on project development, project finance and structured finance, including securitization programs for every significant asset class involving Québec assets.
Yannick works on transformative, complex and highly innovative national projects. He advises project proponents in the transportation, social infrastructure, alternative and renewable energy, traditional energy and health care sectors (on projects related to public transit, light rail and high-speed trains, toll roads, hospitals, education, wind, solar, battery storage, hydrogen, pipelines and urban redevelopment).
Yannick assists clients—private partners, sponsors, subcontractors or public-sector stakeholders—to secure billions of dollars of debt, using various structures and instruments. He acted on behalf of lenders and borrowers on a wide range of complex infrastructure projects, leveraging his ability to manage sophisticated structures as well as intercreditor issues. Yannick advises sponsors and joint-venture partners on the structuring, feasibility and operation of energy related projects in Quebec. He also assists clients in developing their template agreements and obtaining the necessary permits and licenses.
Yannick advises clients on transaction structuring and assists them in responding to rating agency inquiries and achieving targeted ratings. He has closed several simultaneous combined bank/bond project financings, including offerings in Canada and abroad, coordinating legal counsel and required scheduling to successfully achieve financial close.
He has led private and public projects using all types of project delivery modes, including both traditional and collaborative approaches: Design-Build-Finance-Operate-Maintenance (and all variants thereof), Public-Private Partnership, Collaborative delivery with shared risk/reward, Progressive Design-Build, Integrated project delivery, Engineering, Procurement, and Construction (including EPCM), Framework Agreements and Construction Management Agency (and all variants thereof).
Yannick regularly acts on projects requiring financings involving third-party debt and equity capital invested at different corporate levels, at different stages of the project lifecycle, and involving various government policy incentives, such as loan guarantees and monetization of various environmental and tax attribute credits. He offers equity and quasi-equity capital solutions, including convertible debt instruments, preferred and structured preferred stock, and warrants coupled with debt financing components.
He has extensive experience delivering major projects and managing complex transactions. Leveraging his expertise to anticipate challenges and apply proven solutions, he advises clients on project bankability, certainty of funding and operational flexibility while addressing lender requirements.
Yannick also advises Indigenous communities and their development entities on project finance structuring for major renewable energy projects, including equity participation financings, Holdco financings, and senior structure loans, whether supported or not by government loan guarantee programmes. He brings particular expertise in structuring financings at the intersection of Indigenous governance frameworks and institutional lending requirements.
Over the last few years, Yannick has been consistently recognized as a leading lawyer in Canadian and international legal directories, including the Canadian Legal Lexpert Directory (project finance, infrastructure law, banking & finance and asset financing), IFLR1000 (banking & finance and real estate) and the Lexpert/American Lawyer Guide to the Leading 500 Lawyers in Canada (project finance).
