• Counsel to the Canada Infrastructure Bank on proposed amendments and an additional credit facility for a major transit-oriented project in Québec, including drafting and negotiating amended loan documentation, security documents and intercreditor arrangements, and conducting legal due diligence on regulatory, environmental and Indigenous consultation matters associated with the project.

• Counsel to a federal financial institution in connection with the financing of a renewable energy holding company leading the development of wind, solar and hydro projects across Indigenous communities in northern Québec. The mandate involves drafting and negotiating a master credit facility at the holdco level with separate tranches for each project-level entity, comprehensive legal due diligence (including regulatory, Indigenous, environmental and governance considerations), with designing a standardised legal framework for the onboarding of subsequent projects within a multi-year pipeline.

• Advising an Innu First Nation community on the financing of the project level and the equity participation in a 300 MW wind farm project in Québec, developed jointly with a major Canadian renewable energy developer and a regional county municipality. The mandate includes advising on project-level and equity loan structuring (including delayed draw term loans, sculpted amortisation and hedging requirements) and coordinating with various stakeholders.

• Counsel to the Canada Infrastructure Bank in connection with its additional $250 million contribution to support the planning phase for two new Réseau express métropolitain stations in Montréal: Griffintown–Bernard-Landry and a new station in the Bridge-Wellington sector. The mandate included advising on proposed amendments and an additional credit facility for the Québec transit-oriented infrastructure project to address the additional contribution of $250 million from the Canada Infrastructure Bank, as well as amendments to reflect the $25 million from the Government of Québec.

• Led the legal team in support of Alto (formally Via-HFR Inc., a federal crown corporation) on the existing corridor services transition matters during the co-development phase related to Canada’s first high speed rail project, consisting of an electrified rail network. This iconic project, the country’s largest ever infrastructure project –spans approximately 1,000 kilometres, reaching speeds of up to 300 km/hand connecting Montréal and Toronto.

• Led the legal team in support of Canada Infrastructure Bank’ C$1 billion innovative financing to support Montréal-Trudeau transformation as part of the 2028-2035 Flight Plan, a development initiative to increase capacity at Montréal-Trudeau International Airport.

• Assisted a number of flagship electrical vehicle (EV) battery clients on all legal matters related to procurement, financing, construction and operation for their respective manufacturing plant in Quebec.

• Led the deal team for Transurban Group on its acquisition of 100% of the equity interests in the A25 Highway toll road and bridge concession in Montréal, Québec, from Macquarie Infrastructure Partners.

• Led the deal team for Transurban Group on its sale of a 50% interest in Concession A25, L.P., the concession operating and maintaining the A25 Highway toll road and bridge concession in Montréal, Québec, to Caisse de dépôt et placement du Québec for C$355 million.

• Led the team for Transurban Group on numerous transactions (debt financing, hedge structures, holdco financing and cross-border notes issuance) to provide financing for the A25 toll road concession in Montréal, Quebec.

• Acted for the lenders and underwriters, including hedge providers, on numerous transactions (debt financing, hedge structures, holdco financing and cross-border bond issuance) exceeding C$1.218 billion to provide financing for the Autoroute 30 concession project.

• Acted for the owner and equity sponsor on a project involving a progressive design-build delivery approach with an energy conglomerate as sole tenant and operator, using a Canada-US bondable lease structure.

• Led the deal team on various data centre projects on behalf of the sponsors, including on the procurement and construction of a $1.2 billion next-generation research centre and data storage facility, comprising four modules - two R&D labs and two server farms, covering 430,000 square feet.

• Acted for a tenant in connection with the negotiation for the relocation of its Montreal headquarters in a new built-to-suit facility.

• Acted for a qualified bidder in connection with the construction of the new headquarters of a federal Crown agent and the real estate development of the lands adjacent to the existing headquarters.

• Advised an institutional lender in a financing for infrastructure upgrades at a marine port in Quebec.

• Assisted the private partner in the transfer of the design and build obligations for the second phase of a P3 project from the existing joint venture contractor to a new contractor, including in connection with the solicitation of the required Bondholders consent.

• Advised both sponsors and finance parties (including hedge providers) on numerous cross-border bond issuances, each in the range of C$600-1.3 billion, to finance or refinance various infrastructure projects in Canada.

• Advised the lenders on the acquisition financing of a number of secondary sale transactions involving Canadian infrastructure project portfolios.

• Assisted numerous bidders and project entities on various projects to design, construct, finance, operate, maintain and rehabilitate transactions, including the financing for such projects, using rated bonds and short-term credit facilities: the AMT Lachine Maintenance Centre Project, the Hydro-Québec Data Centre Project, the Sorel detention facility, the Hospital Centre of the University of Montréal (CHUM), the Champlain Bridge Replacement Project, the McGill University  Health Centre Project (MUHC), the Centre Hospitalier de I’Université de Montréal Research Centre (CRCHUM), the Baie-Saint-Paul Hospital Project, the St-Justine Hospital Renovation Project,  the Markham Stouffville Hospital.
