Transactional work experience

• Advising developers, investment banks and financial services companies on investment portfolio acquisitions. Jay has experience in residential, mixed-use and hotel portfolio acquisitions. He is particularly experienced in identifying gaps in disclosure and providing commercially sensitive advice on risk where complete information is unavailable.
• Advising housebuilders on the acquisition of parcels forming part of wider residential-led development sites, including where outline consents have been granted but reserved matters remain outstanding. Jay frequently advises on securing a fair and proportionate allocation of liability for planning conditions and obligations, as well as on Hillside risks.
• Providing environmental and planning support on a wide range of corporate matters, including in the insolvency context. Jay frequently undertakes due diligence and inputs into SPAs in relation to both planning and environmental matters.

Infrastructure and energy experience

• Acting as part of a team that successfully secured the Development Consent Order for the Immingham Eastern Ro-Ro Terminal, working on the project from pre-application through to defending a claim for judicial review.
• Advising interested parties in connection with various nationally significant infrastructure projects, including several offshore wind farms and the Norwich to Tilbury project. Jay frequently leads on examination strategy for interested parties and has experience drafting and negotiating complex funding agreements to secure mitigation packages.
• Advising a police force in connection with facilitating police escorts for the delivery of abnormal indivisible loads to and from the Sizewell B development site, including negotiating and drafting a funding agreement for those services.
• Advising on the acquisition of energy projects, including solar farms and the proposed post-consent sale of the benefit of a Development Consent Order authorising the construction of an energy park.

Drafting and advisory experience

• Acting for various councils, developers and landowners on the drafting and negotiation of Section 106 agreements. Jay has experience negotiating Section 106 agreements in respect of both residential and non-residential development, including agreements to secure on-site biodiversity net gain.
• Advising on the full range of issues relating to biodiversity net gain and natural capital more generally. Jay has drafted and negotiated biodiversity unit reservation and funding agreements for both buyers and sellers. He also has extensive experience drafting conservation covenants and advising more generally on BNG compliance.
• Advising UK and international clients on the application of English and European environmental law to their businesses. Jay frequently advises on producer responsibility regulation issues, including in relation to packaging, electrical and electronic equipment, and batteries. He also regularly advises on contamination and pollution risk and general regulatory compliance.
