Gowling WLG advises Mariana on USD$175-million acquisition by Sandstorm

Gowling WLG acted as Canadian counsel to Mariana Resources Ltd. (AIM and TSX Venture Exchange), a Guernsey incorporated company, on its USD$175-million acquisition by Sandstorm Gold Ltd. (Toronto Stock Exchange and NYSE-MKT), a gold royalty company, via scheme of arrangement which completed on July 3, 2017. Pursuant to the scheme, which was conducted under the laws of Guernsey and subject to the City Code on Takeovers and Mergers of the United Kingdom and the laws of Canada and the United States, Sandstorm acquired 100% of the shares of Mariana in exchange for shares of Sandstorm. Mariana is now a wholly owned subsidiary of Sandstorm.

Sandstorm is a gold royalty company.

Mariana is an exploration and development company with a diversified portfolio of precious metals projects in Latin America, Turkey and West Africa.

Gowling WLG advised Mariana with a team led by Cyndi Laval that included a principal team of Stefan McConnell, Yong-Jae Kim and Garrett Lee (M&A and Corporate Commercial) and A. Brent Kerr (Tax).
