Our Corporate Team has advised the directors and shareholders of SHD Holdings Limited (SHD) on its sale to Cambium.

SHD is a global manufacturer of advanced composite prepreg materials, serving aerospace, high-performance automotive, motorsport, and industrial markets. With manufacturing facilities in the UK, Europe and the USA, SHD is recognised for its rapid lead times, technical expertise, product quality and ongoing commitment to sustainable material solutions.

The transaction brings together SHD's established expertise in advanced composite materials with Cambium's high-performance materials business.

SHD Founder Steve Doughty said: "This is a major step forward for SHD. Combining with Cambium allows us to build on our existing strength and enhance our technical offering while remaining fully committed to the quality and service our customers expect."

Our team advised the clients throughout the entire transaction process, supporting SHD from pre-sale planning to completion in close collaboration with their M&A advisor, Future Materials Group (FMG).

Helen Doughty, Co-Founder at SHD said: "We have been very struck by the amazing professional and personal support shown to us throughout the sale process by the Gowling team. Their understanding and counsel have been key in enabling us to successfully complete the deal."

Our team was led by Senior Counsel David Vaughan and Partner Chris Letters with support from Associate Jessica Waldron and Trainee Solicitor Chris Jeffrey.

David Vaughan said: "We were very pleased to help Helen and Steve navigate the sale process. This transaction not only secures a strong platform for the business going forward, but it also provides Helen and Steve with the perfect succession plan which is so richly deserved given the passion, commitment and sacrifice that they have contributed to the business over the last 16 years".
