Gowling WLG advises Altitude Infrastructure on €500 million public-private partnership deal

The PPP and Corporate teams of Gowling WLG France have advised Altitude Infrastructure in relation to a 30-year, €500 million public-private partnership agreement.

The agreement is for the financing, design, construction, maintenance and operation of a new high speed fibre-to-the-home network in the Alsace Region, France. The project will connect approximately 370,000 households across more than 700 municipalities.

The Gowling WLG team included partners Emmanuel Paillard, Jérôme Patenotte, Pierre-Emmanuel Chevalier, senior associate Julie Vuagnoux and associates Oscar Da Silva and Alexandre Silva Delaquaize.

Altitude Infrastructure is a member of the consortium who applied for the project and a shareholder of Rosace, the special purpose vehicle formed by the consortium's members for the purpose of the execution and performance of the contract. The other consortium members are NGE Concessions, Altitude Infrastructure, Marguerite Telecom, Quaero European Infrastructure Fund and Caisse des Dépôts et Consignations.

After a twelve-month call for tender process, the contract was awarded to Rosace and the financial documentation has been executed with a pool of lenders led by Société Générale. Altitude Infrastructure and NGE will be designing, constructing, maintaining and operating the network, as Rosace's subcontractors.

The Gowling WLG team advised Altitude Infrastructure on the negotiation of the public service concession contract and the drafting and negotiation of the construction, maintenance and operation contracts.

They also advised on the negotiation of the shareholders' agreement and the Articles of Association of Rosace, the special purpose vehicle formed by the consortium's members for the purpose of the execution and performance of the contract.

This deal follows the team's work on a €160 million public-private partnership agreement for part of the Campus Condorcet.
