Caroline McNally helps clients achieve pragmatic and commercially focused solutions in relation to both day-to-day contractual matters as well as large and strategically important projects.

Caroline advises both private and public sector clients on a wide range of commercial arrangements, working across sectors such as retail & leisure, food and drink, manufacturing and professional services.

Caroline's experience in these sectors includes drafting and negotiating contracts in areas such as outsourcing, logistics, manufacturing, supply of goods and services, international trade and franchising.

Often large commercial projects involve many concurrent elements; Caroline's experience on working on projects for clients such as Home Retail Group and A.S. Watson have given her plenty of opportunity to get her teeth into both the legal intricacies as well as the (often more challenging!) project management of simultaneous work-streams.

"As a commercial lawyer no two days are the same - but I wouldn't have it any other way! Sector focus allows us to really get under the skin of our clients' businesses, which means we are right there with them, both when there are routine matters to be tackled but also throughout the development and delivery of big, sector-changing projects.
"One day I could be advising a food and drink sector client on its domestic logistics arrangements and the next I could be working on a highly complicated, public sector concession agreement - it certainly keeps me on my toes!"

Highlights

Working week-in, week-out with clients has allowed Caroline to build relationships and, at times, feel like an extension of the relevant in-house team. For example, many many hours spent working with Argos on its ground-breaking fulfilment marketplace arrangements with eBay meant that she felt a real sense of satisfaction for the whole Argos team once the deal was signed!

Experience

  • Helping A.S. Watson with all aspects of the launch of in-store loyalty card schemes in both Superdrug and The Perfume Shop, including the project management of over 30 separate cross-firm work streams and the drafting and negotiation of logistics, manufacturing, outsourcing and hosting agreements.
  • London Legacy Development Corporation (LLDC) - on the commercial aspects of an innovative, 25 year concession agreement for the day-to-day running of the Queen Elizabeth Olympic Park (and stadium therein) and for the generation by a commercial partner of further revenue through new events and other sponsorship and promotional activities.
  • Acting for Argos in relation to the development and negotiation of a fulfilment marketplace agreement between Argos and eBay in order to enable customers shopping on eBay to collect their purchases in participating Argos stores. The matter also involved the simultaneous negotiation of an agreement between Argos and its logistics provider to both physically transport the goods and to flow down Argos' obligations to integrate the eBay and Argos IT systems with the logistic provider's parcel tracking solution.
  • Transport for London - on the drafting and negotiation of a concession agreement in relation to the appointment of a commercial delivery partner for the establishment, planning, financing and delivery of an Olympic legacy cycling event in and around London
  • Working with Iglo Foods (Birdseye), alongside their General Counsel, managing and responding to general queries from all sections of the business. As well as advising on contractual documentation, Caroline work closely with the various procurement teams to assist them in their understanding of the commercial and legal risks associated with their day-to-day dealings.
  • Ofwat - in relation to the drafting of a delivery partner contract (procured via the Restricted Procedure under the Public Contracts Regulations 2015) to support Ofwat's 2019 Price Review (PR19)
