Ciara Howie

Ciara is a Principal Associate working with the Corporate Commercial team based in Dubai. Ciara has been in the region for 13 years, having spent over three years in Kuwait working for the in-house international legal team of Agility Logistics and then spending time in Lebanon and Syria prior to moving to Dubai in 2008.

Since joining Gowling WLG in 2010, Ciara has developed significant experience in cross-border mergers and acquisitions, IPOs, international and regional joint ventures, shareholders' agreements, investment and asset structuring and re-structuring as well as significant experience drafting a broad range of commercial agreements for regional and international clients.

She plays a key role in all Corporate Commercial matters handled by Gowling WLG in the Middle-East.

Ciara has led on a number of initiatives including advising and running sessions with regional investors on raising funding for tech and hosting in-house training with a department of the Dubai government together with our TMT and IP departments. Ciara has also advised a number of Gulf Family offices on using corporate structures and governance practices to plan for succession of assets with values in excess of US$200m.

She has a working knowledge of Arabic (spoken and written) and speaks Spanish fluently.

Highlights of her experience include:

  • Advising a large Saudi based listed company with a market cap in excess of Riyals 4bn on its regional technology investments and joint venture arrangements.
  • Advising a regional tech company on raising funds in excess of US$3M.
  • Advising a department of the government of Dubai on its commercial procurement arrangements and framework agreements with suppliers with an average annual value of AED 100m.
  • Advising a group of locally based angel investors on multiple investments in the Middle-East and abroad.
  • Advising a local family office on its acquisition of US$70m of mining concessions in South America.
  • Advising a sovereign wealth fund on a £30million investment into a UK company.
  • Advising a family office on its $120 million sale of its stake in a telecoms company.
  • Advising on the joint venture relationship and USD 25 million loan financing arrangements in respect of the a hotel in Dubai as part of a restructuring of $100m equity investment. Ciara has been providing advice in relation to this investment as well as a number of restructurings and further investments for the same client since 2011.
  • Advising a family office on its US$246 million partial exit from an African telecoms business and its subsequent restructuring.
  • Advising on the US$165 million restructuring and a UK listed company on its investment in a Dubai-based regional bank.
  • Advising Kalahari Minerals PLC on its £632 million takeover by Taurus minerals, a quasi-state owned Chinese entity. The Management team was Australian based with assets in Namibia.
