Ed Hall helps clients to obtain the best possible outcome from financing transactions by taking a pragmatic, commercial and solution-driven approach.

In advising both lenders and borrowers on a variety of national and cross-border leveraged finance, corporate banking, restructuring and real estate finance transactions, Ed's experience allows him to see both sides of the transaction in hand, predict issues before they arise and understand the commercial drivers behind the deal.

Ed strives to develop close working relationships with his clients, whether large corporates from a range of industry sectors, clearing banks (both in the UK and abroad), funds or investment banks. He has a lot of experience in project managing international transactions and co-ordinating local counsel cross-border, and prides himself on providing an efficient and cost-effective solution for clients.

Ed's experience allows him to negotiate and document the best possible position for his clients while ensuring that the transaction is workable in practice long after the dust has settled on the legal documents. He regularly leads large, cross-firm transactions advising alongside our Corporate, Real Estate and Pensions teams.

Ed has particular expertise in the Data Centre sector and also in relation alternative lenders such as evergreen funds.

Highlights

Ed was very proud to help a long-standing client complete two complex transactions back to back with a total debt value in excess of £250 million against an extremely demanding timetable and across jurisdictions as wide as the US, Canada, Singapore and Australia, following which the client noted that ED acted as 'an extension of their team'.

Ed supported Harworth Estates with a complex £65 million refinancing, which had to be completed prior to Coalfield Resources plc acquiring 71.5% of the business in a separate deal. This meant a challenging deadline of just two weeks to advise the business on its new financing arrangements with RBS and project manage the completion process, which included repayment of two existing lenders and renegotiating priority agreements with a number of third party stakeholders. Ed delivered under difficult circumstances and the client noted that the team "did a brilliant job in working closely with us and other parties to complete this key milestone for our business". Ed was singled out for further praise with the client stating that "Ed is a class act. Can I have him on all my deals?!"

Longstanding client, the North West Evergreen Fund, in relation to its £15 million investment to Allied London to part-fund the development of No.1 Spinningfields in Manchester.

Harworth Estates Property Group Limited on the £65 million refinancing of its group banking facilities.

Daiwa Capital Markets Europe in relation to the provision of debt financing for the acquisition of 40-41 Great Marlborough Street in the West End of London.

Lloyds Bank plc as Agent to a four-bank syndicate in relation to the provision of a $150 million revolving facility to the Keller Group plc to fund their purchase of a large Canadian piling company, as well as acting for Lloyds as Agent to a four-bank syndicate in relation to the amendment of a £170 million revolving facility to Keller Group plc.

Harworth Estates in relation to several stages of the restructure of UK Coal, a complex project involving the Pension Protection Fund, the Coal Authority and Coalfield Resources plc.

A major UK engineering company on the refinance of £250 million revolving credit facilities with four different lenders simultaneously, involving the co-ordination of advice from international advisers across five jurisdictions.

The North West Evergreen Limited Partnership in relation to the financing for the regeneration of the Soapworks development in Manchester, which featured elements of EU structural funding (in particular, ERDF and European Investment Bank (EIB) match funding) and involved the drafting of tailored loan and security documentation and management of the draw-down process.
