Fabienne Racicot
Fabienne Racicot is an associate in Gowling WLG's Montréal office. She has been a member of the firm's Real Estate Group since 2019.
Her practice mainly focuses on real estate transactions, including real estate financing and commercial leasing. She regularly acts for lenders, real estate developers, landowners and tenants.
Fabienne is involved in all the stages of file processing for real estate transactions. She advises clients on the legal impacts of business decisions, drafts and revises various documents, negotiates the terms and conditions of these documents with the other parties' legal counsel, and actively participates in coordinating the work to meet clients' deadlines.
She is known for her strong skills in drafting and negotiating complex commercial leases, with regard to mixed-use developments, industrial leases, sales and leasebacks, and leases involving special rights, such as purchase options and rights of first refusal.
In addition, Fabienne has experience in drafting a variety of real estate agreements, including escrow agreements, applications to lease or purchase, letters of intent, bills of sale and lease amendments, lease renewals or terminations, and consent agreements for assignments, subleases and changes of control.
Fabienne is regularly sought out by clients to conduct research and draft legal opinions on complex matters, such as the impact of the existence of a pre-emptive right in favour of public authorities on a proposed real estate transaction, the terms and conditions of various dismemberments of the right of ownership (including servitudes, emphyteusis and usufruct), the interpretation of lease exclusivity clauses, and the advantages and disadvantages of using immovable hypothecs to guarantee the completion of environmental remediation on a property.
Fabienne works closely with Gowling WLG's M&A teams, reviewing existing real estate agreements, identifying potential issues and proposing effective clients solutions.
