Julien Monsenego

Julien Monsenego advises French and foreign corporations on their domestic and international investments, strategy, and day-to-day operations.

Representing either French multinationals or the French subsidiaries of multinational corporations, he has significant experience in establishing policies and documentation for transfer pricing and cross-border tax structures, as well as implementing French stock option plans and other employee share-based incentives. As longstanding legal counsel to a number of privately-owned groups, Julien not only represents them on corporate tax issues (eg. restructurings, acquisitions, divestitures...) but also on their interactions with individuals and wealth taxation regarding shareholders, including family-run groups, and managers.

He has particular expertise in the pharmaceutical and life sciences industry, as well as a focus on generally R&D-intensive sectors such as technology and software, agro-business and media.

Julien is a regular contributor to the international taxation journal BNA, and is responsible for the French chapters in the BNA's Transfer Pricing Forum. He is a frequent presenter at seminars and conferences, including presenting tax-related seminars to LEEM, the French pharmaceutical industry body. He is a member of the International Fiscal Association (IFA) and the French Tax Lawyers' Institute (IACF)


International investment and transfer pricing

  • Designing and implementing a tax efficient cost sharing agreement regarding R&D and patent portfolio for a paper group and an agro-business group.
  • Establishing a number of transfer pricing schemes and documentation for French multinationals and French subsidiaries of foreign multinationals.

  • Assistance of a leading company of the cotton sector in relation to the acquisition of a German company from an important German conglomerate
  • Advising a medical devices company on the acquisition, restructuring and documentation of an intellectual property portfolio and French plant, with Irish-French transfer pricing schemes.
  • Advising on real estate and capital restructurings.
  • Advising on the acquisition and restructuring of a French and Dutch group in the media sector.
  • Restructuring and establishing a rental management agreement for a consumer products group.
  • Numerous due diligences and structurings in the context of company and asset acquisitions across a variety of industries.
  • Tax audits and disputes
  • Advising a global pharmaceutical group on tax litigation before the Supreme Tax Court regarding the treatment of intercompany royalties (assets to be capitalised versus directly deductible expenses).
  • Assisting on and negotiating a settlement in a US-France transfer pricing adjustment and follow-up over four fiscal years.

Other notable deals

  • AIPG. We advised the Association pour la Presse d’information Politique et Générale (French Press Association) on the formation of a fund with Google aimed at financing digital media initiatives in France, and were involved in the negociation with the French Ministry of Economy of a ruling in relation to the tax status of the funds.
  • Advised Warner Music Group in relation to its acquisition of the Parlophone Label Group, formerly a part of EMI and comprising the Parlophone and Chrysalis labels, from Universal Music Group for £487 million.
  • Advised NVIDIA Corporation, a world leader in video and computing technologies, on the UK and French aspects of its agreement to acquire Icera, Inc for US$367 million.
  • Advised OFI Private Equity Capital, a French investment company listed on NYSE Euronext Paris, on its sale to Eurazeo, one of Europe's leading investment companies, for €132 million.
  • Advised the London-based investment fund Neo Capital on the sale of their controlling stake in the French luxury eyewear designer Alain Mikli International SA to Luxottica Group SpA, leader in premium fashion, luxury and sports eyewear.
  • Advised Toronto Stock Exchange-listed Tuscany International Drilling Inc., a provider of contract drilling and services to the oil and gas industry, on its acquisition of Paris-based Caroil, from Euronext-quoted Maurel & Prom.
  • Advised Hungry Machine Inc., trading as LivingSocial, a US company, on the acquisition of the entire issued share capital of Dealissime, one of the leaders of online daily deals and social buying services of upscale products in France.
