Laura Golightly

Laura assists clients in developing their business when it comes to transactions or projects involving investment funds and corporate acquisitions and disposals.

Laura regularly works with investment funds and intermediaries to advise on a variety of corporate and funds matters, including joint venture structures, both corporate and contractual (such as limited partnerships, limited liability partnerships and companies), intra-group loan agreements, service level agreements and the acquisition or disposal of corporate entities (including special purpose vehicles holding property assets) either by way of an asset or share sale/purchase. She also advises real estate investment trusts on expanding its seed portfolio and investments in funds on behalf of pension schemes.

Joint Ventures

  • Lead corporate advisor on a complex limited liability partnership arrangement between a council and registered housing provider for a regeneration project in London. Immediate client feedback from the council client - "It has been really helpful to have her specialist advice for the LLP agreement, she has taken the time to understand our project and ensuring her advice aligns with the other documents. She's been confident on the negotiations and I have particularly been impressed by her ability to explain some of the more complicated clauses in the LLP agreement!".
  • Assisting on a £160m ground breaking joint venture for the social housing sector between Trafford Housing Trust and London & Quadrant Housing Trust which involved advising on the structure of the joint venture, negotiating the LLP Agreement, services agreements, development loan agreement, debenture, deed of priority and preparing for and presenting governance board training to board members.
  • Joint lead on the creation of a £10m corporate joint venture between an RP and UK leading house building and construction company by drafting and negotiating the LLP agreement, streamlining the financing arrangements through the RP group structure and the joint venture vehicle including advise in relation to the service level agreement, loan agreement, debenture, deed of priority and parent company guarantee.

Funds

  • Advising on several acquisitions of special purpose vehicles with real estate assets for a social housing real estate investment trust (REIT) who holds £800m of assets under management which involves negotiating the share purchase agreement, the ancillary documents, advising on the corporate entity and bringing the deal to a swift close.
  • Advising a number of institutional pension scheme investors in connection with the trustee's potential investment in a particular fund, whether it be Irish, Luxembourg or a Jersey fund of amounts up to £100m in a diverse range of pooled asset fund vehicles.
  • Advising an institutional investor in connection with the setup of a Jersey limited partnership fund for the build to rent sector in the UK of which they are a 40% investor. Negotiating liquidity, key person, funding commitment, liabilities, termination, protections, decision making, distributions, and transparency and reporting provisions in the limited partnership agreement.

Corporate

  • Effectively represented a RP based in central England with approximately 10,000 homes through an amalgamation of two RPs and the intra-group financing of the entities into development subsidiaries and joint venture vehicles with a value of 80m. I attended several board meetings and walked the board through the corporate governance and funding process.
  • Joint lead on an amalgamation of two Lincolnshire based RPs with an asset pool over of 12,000 homes which involved the negotiation of consent with the current lender's to the conversion from a registered charity to an exempt charity and the amalgamation of both entities. A member of the management team expressed their gratitude for my involvement in the transaction by commenting "thank you … for holding our hands and guiding us safely through this lengthy process".

Finance

  • Joint lead on advising an RP with around 11,000 homes on new facilities in the sum of £80m with two lenders along with advising on the consent required by four existing lenders to the conversion of the company from a registered charity to an exempt charity and the extension of the on-lending provisions in the current loan documentation.
  • Successfully represented a northern registered provider of social housing (RP) with over 30,000 homes with a group structure collapse of group entities with the negotiation of consent letters for the amalgamation of the group, four new facility agreements and two restatement and amendment agreements with six different lenders and a deal value of £380m.
