Mai Marshad

Mai is an associate working in the corporate and commercial team. She is qualified as an attorney in Bahrain and as a solicitor in England and Wales.

Mai has been based in the Middle East for over five years advising multi-national corporations, local family groups and high net worth individuals on a wide range of corporate, employment, real estate and commercial transactions across the Middle East in various sectors.

Prior to joining Gowling WLG's Dubai office, Mai has worked in multiple international law firms where she has advised on corporate, employment and real estate matters across the UAE and the Kingdom of Bahrain.


  • Acting for a high net worth individual in connection with the acquisition of 25% stake in a holding company based in Jersey with multiple entities in the UAE. The value of the deal was 15 million dollars.
  • Advising two individual buyers in connection with acquisition of the entire issued share capital of a high end restaurant brand in the UAE, valued at AED 17 million.
  • Advising an international company on the practical implications of setting up a consultancy arrangement in the UAE.
  • Acting for an international group in connection with a share acquisition of a luxury business owned by a local family includes advising on the structuring options.
  • Assisting an international technology company with internal reorganisation of its business in UAE including setting up various entities in DIFC and ADGM.
  • Acting for an Austrian based packaging solutions specialist on the acquisition of the entire issued share capital of a Saudi based entity in the UAE and KSA, valued at AED 170 million.
  • Advising a number of foreign companies on company set-ups, share transfers between free zones and onshore, liquidation of various branches both on-shore and in free zones in the UAE. 
  • Reviewing and amending a number of policies and terms and conditions of a website for  international retail platform company so that it is in line with local laws.
  • Assisting a leading solar energy based company in drafting resolutions, short loan agreements, articles of association, novation agreements, short share purchase agreements and assignment agreements in English.
  • Assisting an international company with ad-hoc employment queries including secondments, restrictive covenants, termination of employment contracts of senior employees, end of service gratuity and pension arrangements and reviewing employment contracts. 
  • Reviewing a master property and transfer and settlement agreement for a high net worth individual for multiple units worth AED 10 million.
