Matthew Lappin

  • Advising a private equity buyer on the acquisition of a software company with operations in the USA and the UK. This included advising on acquisition documentation, assisting with due diligence, liaising with the broker to help arrange a buy-side W&I policy and project managing input by lawyers based in the USA.
  • Advising management and the buyer on a private equity-backed MBO of a large group of property SPVs, and a related trading company. This included advising on equity documentation to be entered into by management, the share purchase agreement to be entered into by the buyer, negotiating the disclosure letter and other related documents.
  • Advising the seller on the share purchase agreement and disclosure letter in an indirect real estate transaction involving the disposal of three separate logistics sites with a deal value of over £90m.
  • Advising the management sellers on the disposal of a logistics business to a private equity buyer, with a subsequent re-investment by certain of the management team in the newco. This involved advising on both acquisition and equity documents, and advising on certain key terms of the acquisition documentation which was specific to a business in the logistics sector.
  • Advising an AIM listed Plc buyer on several bolt on acquisitions in the professional services field, which included earn out provisions and the issue of listed consideration shares.
  • Advising the sellers of a well-known Midlands product manufacturer to an overseas listed buyer. Complexities in the transaction included dealing with the target's overseas locations in China and India, and the negotiating the SPA in light of there being shares in the target held by trustees.
