With over 10 years of dedicated company secretarial experience and as a student of the Institute of Chartered Secretaries and Administrators she is highly experienced and specifically focused on company secretarial requests. Rebecca's experience includes acting as a company secretary for numerous clients and attending general meetings to ensure regulatory compliance. She supervises and trains a team of paralegals who manage day-to-day company secretarial work for clients in an extensive range of industries, with a particular focus towards the firms' real estate and pensions clients. She also trains our own trainees and the company secretarial paralegals on company secretarial best practice. She helps businesses to work efficiently and effectively by simplifying processes and procedures. Clients have peace of mind that their records are accurate, and that historical issues have been resolved by taking advantage of statutory register audits and rectification work.
Rebecca has gone one step further, working with a number of organisations, to produce a pro forma set of articles of association and accompanying resolutions which reflect changes implemented by the Companies Act 2006. For clients, this means easier group administration and the ability to take advantage of deregulatory provisions.

Advising US and European clients commencing business in the UK on company and UK Establishment (branch) formations, dissolutions and on-going maintenance requirements and advising Chinese and UK clients on reinstating their dissolved UK subsidiaries to ensure substantial assets could be retained.
Advising on the recently introduced "Persons with Significant Control" Registers, Directors' Duties and conflicts of interest and drafting Powers of Attorney.
Updating a company secretarial software provider's precedent articles and board and member resolutions prior to implementation of the Companies Act 2006. Rebecca's work helped the client to meet a software implementation deadline months in advance of the new legislation coming into force and ensured their ability to continue providing services despite a complete legislative overhaul.
Project managing a portfolio of over 100 residential and commercial property management companies for major house builders from incorporation through to eventual handover to property owners on new-build estates. This included liaison with residents, managing agents and the developers' senior management. Rebecca used her property law knowledge, together with her resilience and determination to help the clients solve often difficult and controversial issues and achieve their objectives.
Rebecca also has extensive experience assisting our Pensions team with project managing the appointment of corporate trustees to numerous pension schemes protecting the individual trustee's from personal liability. She is also the Company Secretarial team's expert on companies limited by guarantee (non-profit making) including community interest companies and has assisted in the formation of local enterprise partnerships and a community land trust.
Rebecca also drafts board minutes to approve various transactions for the wider corporate and project teams, including inter-group hive outs and property acquisitions ensuring lawyers are able to concentrate on negotiating client's deals without getting bogged down with standard drafting. She has advised clients and drafted suites of paperwork to time-critical deadlines to:
- Approve and ratify accounts;
- Approve 3-way same day name swaps; and
- Appoint and remove directors and approve directors' conflicts of interest and adopt new articles of association across over 80 group subsidiaries ensuring easier group administration for the in-house company secretary.
