Rebecca is a Chartered Company Secretary and Associate of the Institute of Chartered Secretaries and Administrators (ICSA). With 12 years dedicated company secretarial experience, and as a recent graduate of ICSA, she is highly experienced and specifically focussed on company secretarial advice. This means clients can rest assured in the knowledge that she will meet their needs quickly and efficiently.
Rebecca helps clients ensure the smooth running of their businesses by providing a seamless, comprehensive company secretarial service. She fees up businesses and their in house counsel to focus on other priorities by removing the headache of complicated, time-consuming corporate governance cutting through red-tape and paperwork helping businesses work efficiently and effectively by simplifying processes and procedures. Clients have peace of mind that their records are accurate, and historical issues are resolved, by taking advantage of statutory register audits and rectification work. She has acted as company secretary for numerous clients and attended general meetings to ensure regulatory compliance. She has worked with numerous organisations in different sectors to update articles of association following the introduction of the Companies Act 2006 to take advantage of deregulatory provisions.
Rebecca has a particular focus towards the firm's real estate and pensions clients, but supervises and trains a team of Paralegals who manage the day-to-day company secretarial work for clients in an extensive range of industries. Over the years, she has trained our own trainee Solicitors and Paralegals on company secretarial best practice.
Rebecca's breadth of sector experience includes:
National housebuilders and commercial developers, pension fund trustees, global pharmaceutical and biopharmaceutical manufacturers, international technology, wireless technology and global network services providers. She has also acted for an equity funds advisor, procure to pay solutions provider, international payroll and human capital management solutions provider, household name frozen food and global soft drinks manufacturer, European crane and lifting machine tool manufacturer, environmental remediation company and the UK research arm of a Chinese medical provider among others.
Advising US and European clients commencing business in the UK on company and UK Establishment (branch) formations, dissolutions and on-going maintenance requirements and advising Chinese and UK clients on reinstating their dissolved UK subsidiaries to ensure substantial assets could be retained.
Advising on the recently introduced "Persons with Significant Control" Registers, Directors' Duties and conflicts of interest and drafting Powers of Attorney.
Updating a company secretarial software provider's precedent articles and board and member resolutions prior to implementation of the Companies Act 2006. Rebecca's work helped the client to meet a software implementation deadline months in advance of the new legislation coming into force and ensured their ability to continue providing services despite a complete legislative overhaul.
Project managing a portfolio of over 100 residential and commercial property management companies for major house builders from incorporation through to eventual handover to property owners on new-build estates. This included liaison with residents, managing agents and the developers' senior management. Rebecca used her property law knowledge, together with her resilience and determination to help the clients solve often difficult and controversial issues and achieve their objectives.
Rebecca also has extensive experience assisting our Pensions team with project managing the appointment of corporate trustees to numerous pension schemes protecting the individual trustees from personal liability. She is also the Company Secretarial team's expert on companies limited by guarantee (non-profit making) including community interest companies and has assisted in the formation of local enterprise partnerships and a community land trust.
Rebecca also drafts board minutes to approve various transactions for the wider corporate and project teams, including inter-group hive outs and property acquisitions ensuring our deal lawyers are free to concentrate on negotiating client's deals. She has advised clients and drafted paperwork to time-critical deadlines to approve and ratify accounts and approve dividends, approve 3-way same day name swaps, appoint and remove directors and approve directors' conflicts of interest, and has project managed adopting new articles across 80 group subsidiaries.
