Siân Dewing

Siân Dewing is a London-based corporate associate who advises both public and private companies on a broad range of corporate matters, including mergers and acquisitions, joint ventures, venture capital and general corporate law matters. Siân also has experience of assisting clients with IPOs and admissions to AIM and the Main Market as well as secondary fundraisings through placings and prospectus offers.

Siân enjoys getting to know her clients' businesses and works closely with clients to provide thorough and practical advice to help clients achieve their ambitions.

Mergers and Acquisitions (M&A)

  • Assisted owners of a UK printing company to sell the company to a German owned private equity group for £42.5m, including £10m in loan notes and equity shares in a Luxembourg entity.
  • Assisted New York counsel with the transfer of assets, including high value IP, held by UK and US based group companies to an online luxury fashion retailer based in Isle of Man for £12m, paid entirely in shares, and successfully achieved the client's goal of a swift completion to prevent accrual of further losses to the wider group.
  • Advised a company with numerous adult 5-a-side football leagues across London on the sale of its business to a competitor, including negotiating fair terms for the deferred consideration element.
  • Advised a US based relocation company on its expansion through the purchase of a UK based company, negotiating suitable warranty and indemnity protections.

Venture Capital

  • Advised private PropTech company on £1m fundraising from HNW and sophisticated investors in order to develop a marketing campaign and fund further growth and expansion into new markets.
  • Advised a VCT Fund Manager on a £1.1m equity investment into a P2P funding platform to fund its next stage of growth and development.

Equity Capital Markets (ECM)

  • Assisted a fitness related technology company with a placing and loan restructuring.
  • Assisted a company providing Cooking Oil Filtration & Fryer Management Services in the UK and US with its admission to AIM and associated placing of £6.2m, guiding it through the due diligence stage and the verification process.
  • Advised various VCTs on the issue of prospectus documents to raise between £20m and £70m from retail investors, which will then be invested across a variety of early stage, UK unlisted companies.
