Tom Rank

Tom Rank is a principal associate in our UK tax team with twelve years' post-qualification experience. Tom has a broad experience of corporate tax matters and employee incentives with a particular expertise in share scheme matters. He regularly advises on and implements the full range of approved and unapproved equity incentives for start-ups, established private companies and fully listed entities. He also regularly advises clients acquiring and disposing of complex businesses and is highly accomplished at negotiating and drafting as well as identifying and advising on complex tax issues.

Tom has a broad experience with the tax issues faced by large businesses across many activities including internationally mobile employees, debt raising, and commercial contracts. He has many years of experience advising on indirect real estate matters and understands the tax implications of a wide range of asset holding structure, both nationally and internationally.

Experience

  • Advising a large multinational on the tax consequences of an international reorganisation and repatriation of cash to the US.
  • Advising a listed plc on the establishment of a new CSOP and unapproved option scheme and the establishment of a new employee benefit trust.
  • Advising a listed plc on the establishment of a new SAYE scheme.
  • Advising a prominent UK private equity house on the implementation of a new share option scheme as part of the £105 million management buyout of a UK technology company then advising on the tax and share scheme implications of the subsequent profitable disposal of the same business two years later.
  • Advising a major UK pension fund on the tax implications of an innovative longevity swap product through insurers and reinsurers in Switzerland and Guernsey.
  • Implementing a phantom plan for an investment manager to give a senior executive an equivalent return on an exit to the equity investors.
  • Advising senior management in a buyout scenario across six separate equity arrangements to ensure a deferral of the tax charge under the restricted securities rules.
  • Advising a Swedish multinational on growth share arrangements for their UK based CEO.
  • Advising numerous start-ups in respect of the grant of EMI options to senior managers.
