Our Life Sciences team has advised Nanexa AB (publ) (Nanexa) on a EUR 1.165 billion global licence and collaboration agreement with Novo Nordisk (Novo) for the use of Nanexa's proprietary PharmaShell® drug delivery technology platform.
The deal sees Nanexa grant Novo a global exclusive licence to use its PharmaShell® platform for the development of certain peptide-based drugs targeting obesity, type 2 diabetes and other cardiometabolic conditions. It covers up to five development programmes and the development of long-acting injectable formulations with different administration frequencies. Novo will lead the global development and commercialisation of products developed under the agreement.
Under the deal's terms, Nanexa is eligible to receive upfront consideration and milestone payments totalling up to EUR 1.165 billion. This includes EUR 615 million in upfront consideration and potential development and regulatory milestone payments. The agreement also includes single-digit royalties payable to Nanexa on future product sales.
Gowling WLG's Co-leader of Life Sciences & Healthcare (UK) Gina Bicknell and Of Counsel Pat Duxbury jointly led the deal. They worked closely with Nanexa's Chief Executive Officer, David Westberg, and Chief Business Officer, Bridget Lacey.
Gina Bicknell said: "This is a significant strategic agreement for our client, Nanexa, bringing together its innovative drug delivery technology with Novo's expertise in treating obesity and type 2 diabetes. Our established relationship with Nanexa, built up over a number of years, enabled us to act as one team and ensure the commercial outcomes of the deal met their key priorities and worked for all parties.
"We are pleased to help them accelerate the advancement of new treatments in this important and rapidly advancing field."
