Robert Carleton

Robert Carleton is an associate in Gowling WLG's Calgary office, practising in the Business Law and Corporate Finance departments. His practice covers a range of corporate matters with an emphasis on corporate finance, mergers and acquisitions, financial services, capital markets, and corporate commercial law for both public and private issuers.

Prior to joining Gowling WLG, Robert practised at a boutique corporate law firm and large regional law firm, both in Calgary. He then worked with several early stage technology companies assisting with strategy, operations, corporate governance and financing, before re-entering private practice with Gowling WLG.

With a unique blend of business experience and legal background, Robert genuinely understands his clients' objectives, which allows him to provide pragmatic legal advice. He has experience in the following areas:

  • Mergers and acquisitions of both public and private companies, including with respect to plans of arrangement, amalgamations, going private transactions, share acquisitions, take-over bids and asset purchase and sale agreements
  • Brokered and non-brokered public and private financings (debt and equity)
  • Stock exchange listings and exchange compliance matters, and corporate governance and regulatory compliance matters
  • General commercial agreements across a range of industries, including technology, oil and gas, manufacturing, and cannabis sectors
  • Asset purchase and divestitures
  • Corporate structuring and reorganizations

Robert has represented domestic and international companies on financings, public listings, mergers and acquisitions, private equity fund matters, and corporate commercial matters.
