Sharagim Habibi is an expert in corporate and securities law, and advises both private and public issuers in respect of mergers and acquisitions, corporate finance transactions, corporate governance, continuous disclosure issues, securities registration, and other securities and corporate law matters. Sharagim is based in Gowling WLG's Calgary office, and services clients predominantly in Toronto, Vancouver, Calgary and the United States.
Sharagim has acted on behalf of a large number of companies listed on the Toronto Stock Exchange (TSX), the TSX Venture Exchange (TSXV), the Canadian Securities Exchange (CSE) and the CBOE Exchange (formerly NEO), and has developed deep experience with cross-border listings involving Nasdaq and New York Stock Exchange (NYSE) listed issuers.
Sharagim’s work includes having led numerous cross-border acquisitions of Canadian issuers by US-listed entities and similarly structured reverse merger transactions. In particular, Sharagim has extensive US-cross-border experience with SPAC business combination transactions, cross-border M&A transactions, dual/cross-listings, US-Canada outbound multijurisdictional disclosure system (MJDS) listings, foreign private issuers, and paths for Canadian issuers wishing to access the US capital markets.
Sharagim has led transactions ranging from mid-market junior exchange listed issuers, to highly sophisticated cross-border transactions involving senior-listed TSX, Nasdaq and NYSE issuers, including initial public offerings (IPOs) and Canadian/US de-SPAC transactions. He has a deep understanding of both transaction structure and the capital markets landscape, and has the experience and contacts necessary to identify opportunities in Canadian, US and other markets.
Sharagim also has an active special situations practice where a complex tactical response is required, and has acted for clients in crisis communication situations, and on hostile takeovers, corporate governance disputes, proxy fights and in other shareholder advocacy situations for both activist and issuers.
He frequently speaks at conferences on securities law matters, has taught securities law at the University of Calgary law school, and has acted as a member of various administrative tribunals.
