Amar leads our solvent structuring and group reorganisation practice in the UK.

Amar has significant experience in delivering complex restructurings (whether local, national or global). Amar prides himself on being an extension of his clients' teams, working closely with them and their other advisors to ensure that even the most intricate plans are executed seamlessly. Amar firmly believes that change does can be delivered in a positive way and he uses his deep knowledge of the mechanisms of a restructure, his thirst for being innovative in service delivery and his international experiences to help his clients stay in control, minimise surprises and maximise their reward.

Amar regularly advises a broad range of clients across a number of different sectors (including tech, pharma and retail) on a variety of structuring devices including integrations, carve-outs, distributions, reductions of capital, capital contributions, demergers and group simplification.

Clients

Amar's clients are very broad and diverse ranging from large multi-jurisdictional corporate groups through to family run businesses, local authorities and not-for-profit organisations.

Experience

Acted as lead counsel for a significant retail conglomerate on the implementation of a sophisticated multijurisdictional group entity simplification programme which involved a number of intra-group asset transfers (including corporate vehicles containing real estate) and which was required to be delivered in a very condensed timetable. We project managed the others professional advisors involved as well as analysing and executing the English law aspects.

Demerging a multi-jurisdictional business from an existing Corporate group in advance of the sale of that group to an unconnected third party. This involved undertaking a series of complicated legal steps which achieved the clients objectives, provided the end buyer with a clean break and which preserved the value of the group to be sold.

Set up the global corporate structure for a significant accounting practice in six different jurisdictions.

Delivered a sophisticated pre-AIM reorganisation for a corporate group with a significant number of shareholders (based in the UK and abroad).

Assisted in the devising, and delivery of, a number of demergers (both pre-sale and to implement succession planning).
