Our Capital Markets team has advised AIM-listed mineral exploration and development company, Ariana Resources plc, on the English law aspects of its merger with Rockover Holdings Limited, a Zimbabwe-focused gold miner, which holds the Zimbabwean Dokwe Project.

As a result of the Merger, new shares in Ariana were issued to the shareholders of Rockover such that they now hold approximately 37.5 per cent of Ariana.

This move has allowed Ariana Resources to strengthen and expand its existing portfolio of its Turkish assets by adding the ownership of the Dokwe Project, which boasts 1.83 million ounces of gold in measured, indicated, and inferred resources.

The Capital Markets team was led by legal director Sue Johnston, with support from partner Charles Bond and trainee solicitor Freddie Whittle.

Gowling WLG's Capital Markets team is well-established with an extensive track record over many years advising issuers on a variety of markets, as well as their sponsors, financial advisers, nominated advisers and brokers, in relation to IPOs, secondary fundraises, takeovers and related public company transactions.
