Usman, I would be grateful if you could start with a presentation of our group and to present Anthony. Thank you.

To give peace a chance is a theme it seems, in Montreal, which I heartedly concur with. One should give peace a chance. Thanks so much for coming. My name, as Naïm had mentioned, is Usman Sheikh. I am the partner in our Toronto office. I'm also the head of our Blockchain & Smart Contract Practice Group. Our group is a very strong and diverse one. We have probably now over 80 to 90 practitioners across our country and throughout our various 18 and 19 foreign offices who are very much in the thick of Blockchain matters.

<00:01:45> What I mean by that is that we have practitioners who have been in this space because our firm had, just like perhaps many of your organizations, a bit of prophetic insight and vision that Blockchain technology would be totally impactful for our clients, would be totally disruptive - and I don't mean that in any pejorative sense - that our firm consciously decided to learn about the area, understand the technology, build relationships with many of the people that you see on this podium or this stage. We now have a number of accomplishments under our belt. One of them is that one of practitioners in Calgary listed the very first Blockchain company in the world. That is BTL, which is listed on the TSXV. One of our good colleagues, Jean-Francois Pelland, assisted with Impak on the very first - this is a very important moment - this is the very first initial coin offering that had been reviewed and notionally approved. Let's not say approved, but exemptions and various relief granted in order to allow that initial coin offering to occur. In Canada to date there are really only a few. We sort of stand apart from any other jurisdictions in that regard, is that there hasn't been too much development on the approval side that we've seen around the world with initial coin offerings.

<00:03:14> We are a member of the BRI, which is the Blockchain Research Institute. This is a multi-million-dollar research initiative led by Don Tapscott. We are in a consortium with IBM, with the Bank of Canada, with the Government of Canada, with NASDAQ, Accenture, the Hyperledger Project, Nuco, many, many other parties to actively learn about Blockchain, study it, try to see how we can overcome the risks. All to say our firm is very much involved in the space, and we have, I can tell you right now a stellar, stellar team here in Montreal with Jean-Francois Pelland, Laura, Naïm and many others. Whether it's patents, whether it's intellectual property, whether it's tax, whether it's litigation such as myself, or whether it's capital markets, our team is really here to assist you.

<00:04:10> I'll end it there in terms of an introduction about ourselves. Happy to discuss any of us with you later on about what we're up to further. Let me introduce to you one of our greatest friends in the Blockchain space, and that is Anthony Di Iorio, who's to me right. Anthony is a great friend of the firm, and is really a pioneer when it comes to Blockchain, not only in Canada, but really around the world. Anthony, back in 2013-2014, funded and co-founded Ethereum. Ethereum is the second largest cryptocurrency in the world now. I could tell you many of us find - you've probably heard of bitcoin, those of you who are perhaps newer to the space, but Ethereum is the platform that most in the world see as one of the most exciting platforms to have emerged on the Blockchain side. Anthony will get into a little bit about that in a moment. Anthony was critically involved in setting up Ethereum. He's now the President and CEO of Decentral, and he'll talk a little bit about that. He was also the former Chief Technology Officer, Chief Digital Officer for the TMX. With that, not to hold him back any further, over to Anthony.

<00:05:37> All right good. I don't have much room in here, but I'm a pacer and I like to walk and talk, so forgive me for that. Also forgive me for my - I'm very limited in my French. I'm half Italian and I don't even speak Italian, so please forgive me for that. Thank you, Usman, for the introduction and thanks for Gowling for having me at this event. This is my fourth or fifth, I think, Gowling's event that I've done, and they stretch back, I think, over a year and a bit that I did my first one.

<00:06:07> What I like to do usually is get an idea who's in the audience. It's a very, very technology focused, very difficult to understand space that I'm involved in. It's really good to get an idea who's out there in the audience and what their different levels are and where they're from. I usually like to ask what sectors people are here from. If people - obviously there's quite a bit of people from law here. If you could raise your hand if you're focused specifically on law? Finance? Cool. I was speaking to about 400 bankers a few weeks ago and then I asked this question, which is, why are you here? What are you hoping to gain out of this talk here? Something that's interesting is, is the last thing I want is for people to leave these talks and say I'm more lost than what I actually - I did or didn't get my things answered. Maybe some people can tell what are they hoping to get out of this talk today. Yes?

<00:08:01> Growing your network. Basically, networking with others and forming teams so that you can start creating projects in this disruptive technology. Exactly. Maybe one more. I'm waiting for the person to say I'm here to make money. That's usually the big thing and that's where people are usually pretty silent is, you know, who would like to make money in this space? I man, there's - yeah. I'm sure that that's probably everybody in here. Yes?

<00:08:27> Yes. I was <inaudible - 00:08:28> Blockchain help the music industry to go back to money again?

ANTHONY DI IORIO

<00:08:35> Yeah. I mean, being able to own your own rights, being able to own your own music, being able to decide how your ownership can be distributed in a way that's fair and how you want to do it. Definitely, something for the music industry as well. Yeah. Yeah. So, as I was saying, I think I do a good job of trying to break down technologies or break down things in a way that people can understand them and actually hopefully walk away with this saying, you know, I get what's going on here. I get what this disruption that's happening. Basically, I think to sum up what's going on this space and what's happening is massive disruption of many different sectors that are emerging. All the ones that were mentioned here earlier, all the ones that you're involved in here from everything I heard, is going to be touched by Blockchain. It's going to be touched by distributive ledgers in a similar way to what the Internet did.

<00:09:22> I'd like to say that the Internet disrupted everything to do with information. It made it very simple for you to send information globally instantly, very fast and very cheap. It disrupted everything to do with media companies, with postal service. Anything to do with the flow of information was disrupted when the Internet came about. What's their ability now to happen is that there's the ability to move value. There's ability to move value globally, instantly, in the same way that you move an email. That's basically the disruption that's happening now in the Blockchain space, and it touches many different sectors.

<00:09:58> If you think about back in the early '90s, as the Internet emerged - and I've been a technologist all my life. I was building computers since I was very young, eight years old, going to a number of different robotics camps and doing things. I've always been involved in technology. It was in the early '90s when I started my first company which was in web development and graphic design. It was my first business. I grew up in the age of personal computing. I remember getting my first computer when I was about eight years old, and just growing up and being the person in the family that was always on top of different technologies.

<00:10:33> When the Internet emerged, I remember being at - I was at Ryerson University the first time I saw a web browser. It clicked to me right away that this thing, this display, this interface, is a way for people to see information, to be able to move things really quickly, move information really quickly. That's why I jumped into the Internet space in the early '90s and rode the wave there. When I went to university, I decided not to get into computers because it's something I was already in and I instead became an entrepreneur, I decided to go into business. I have a degree in - my Bachelor of Commerce. My major was in marketing. Did that for a couple of years out of school and realized it wasn't for me. I joined the family business in the early 2000s, which was sliding door manufacturing. It's a business that my parents had with the family for about 30 years. Through that I really learned a lot about running a business, I learned a lot about customer service, a lot about making sure user experiences are great. It's all about creating amazing user experiences.

<00:11:29> When my dad decided to sell the business in about 2008, 2009, I had the opportunity to do something that I wanted. I remember him coming to me saying, "You know, you don't really want to work with the company that we're selling it to here. What do you want to do?" I said, "You know, I wanted to get into something that's technology focused and something that's green." I ended up getting into geothermal drilling. For those who don't know geothermal drillings a process of drilling hundreds of feet into the ground in order to cool and heat buildings. I bought this massive drill from Italy and I started drilling and doing Ikeas and doing retirement centres. Really was a green technology that removes the need for combustion in furnaces and instead is using the natural temperatures below the earth's surface in order to cool and heat buildings.

<00:12:13> Well, I did that for a couple of years. Then something happened, which I realize this kind of happens with a lot of different technologies, that governments got its hands on it and made it very difficult for these new technologies to actually flourish because a lot of the red tape that was put on them. It made it really impossible to take a technology like geothermal drilling, which delays projects and has great returns down the road, but actually slows down the construction of buildings, because you have to drill holes underneath the buildings before you put them up. Then added with the red tape that was coming in from the government, it really made it difficult to actually stay involved in that space.

<00:12:51> At that time, we'd gone through the housing crisis, the banking crisis, and at that time I really started looking into what had happened there. I started looking into how could these companies that had been around for such a long time just disappear out of nothing, and I really started studying economics and really went headlong into, you know, if this is what could happen with these massive companies, if we can see this happening here, you know, what causes these booms and bust cycles? What's there? I really started digging into and looking at people that had predicted the housing crisis and the banking crisis. I came across someone named Peter Schiff, who's an economist. I remember watching a video on YouTube, called Peter Schiff was right. What it was, was him on Fox TV and on CNN being laughed at as he was talking about the upcoming housing bubble that was showing and talking about how the banking crisis - there was definitely a major issue in the banks and that there was going to be something that would be coming up.

<00:13:50> I started really looking at the people that predicted these things. After listening to him for quite a while, I started looking into a thing called Austrian School of Economics, which was really a system that's opposite of we teach, which is the Kantian model of economics. The Kantian model is something that leads to these booms and bust cycles. The Austrian school is more about limited government, it's more about entrepreneurship, it's more about sound money. It's more about not just having value or having something that's created out of nothing, but actually requiring value to emerge in order to really produce and create innovation. I started digging into that and this was in about 2011. In about 2012, I was listening to a radio show and I heard about a thing called Bitcoin. In that show, just hearing that in 2012 in the summer, pretty much changed my life. That day I started really digging into it. I'm like, okay, what's this thing here, this Bitcoin? It came about in 2008 and it's here 2012 and, you know, I'm pretty much, as I said, a computer person. How could I not have seen this?

<00:14:55> I looked into it. That day I went out and bought my first Bitcoin. Right away I realized that this technology enables me to be my own bank. That's what Bitcoin enables. It enables you to actually be your own bank. It enables you to say, "I can own something." This is the breakthrough that Bitcoin provided. Whenever you have a technology or you have something that is disruptive, what usually happens is that it solves a problem. That's what happened. That's what Bitcoin did. For those who don't know, I like to say that the problem that was solved is that for the first time ever you can move and manage value instantly, fast, just like you send an email. That's the major disruption that Bitcoin provided. Because before Bitcoin, anything digital could be duplicated. That was the breakthrough. For the first time ever, you could own something digital, you could move it from one person to another, and it couldn't be duplicated.

<00:15:48> For things like currencies that's an amazing feat, because before, trying to do a digital currency with something that's digital but if you could make a million copies of it and send it to anybody it really doesn't have the scarcity, the actual elements that you need for currency. That's the major breakthrough that happened. You can have a digital asset, you can prove ownership of it, I can send it to anybody, anywhere around the world. Now they have it. With Bitcoin the reason why the price has skyrocketed - we've hit I think $10,000 Canadian, when I got in in 2012 it was under $10 - is that it has a value, it has a utility. Think of a global currency that you can actually move instantly globally, and if it has a utility that people are accepting it to buy things and pay for things, that's why the price goes up, because it's got a scarce and finite supply.

<00:16:36> In 2012 I went headlong into the space and I started building up communities in Toronto and then internationally. In 2013, we started a project called Ethereum. If you think of Bitcoin, it's great as a currency, but it's really kind of dumb, it enables you to move something and to prove that it's been moved, but that's about it. It doesn't allow you to do more complex things. When we introduced Ethereum, it was basically a concept of smart contracts. It's a programmable Blockchain. It's code that self-executes on a platform, removing the need for a lot of intermediary layers, a lot of manual processes. If you think in the future you could eventually have a will, a will that's drafted up by, say, a developer, a contract that says, okay, when this person passes away I want my digital assets distributed here, here, here, here and here.

<00:17:31> That's what Ethereum does. It enables you to have, it enables developers to create code, to put that code up onto the Ethereum platform, it then waits for data sources to come in. According to the data that comes in, the contact executes and does what the contract says. It could be sports scores. A sport score comes in, there could be a bet between two people, it says that here's the score, automatically distributes the assets out, without needing a lot of the middle layers. It could be an insurance contract, where a policy gets paid out according to the amount of rain that actually falls on a certain day. So, if you think about all the middle layers and intermediaries that could potentially be removed down the road, and that's what the disruption that's coming. And that's what the disruption's gonna happen. And it's going to take a lot of time.

<00:18:14> Right now, we're in this mode of a lot of exuberance in the space with people that are looking to make a quick buck, people that are scared of missing out on potential opportunities. It's very much in the same way as it was in the late '90s when we had the dot com bubble. I firmly believe that we are in a bubble phase right now with this space. It's the amount of non-value added that's coming into the space. Like there's really very little of value that's been created at this time. It seems like everybody, their uncle, their mother, is coming up with an idea or project and trying to raise money from the masses or doing these ICOs. We're seeing, you know, sometimes like a hundred of them a month coming out. Even more. There's thousands of these projects. What we're going to see, in my opinion, is we're going to see a blow-up. We're going to see this bubble continue to form, and eventually it's going to blow up. Just like we saw with the dot com bubble.

<00:19:03> What we're going to see also after that is we're going to see an emergence of true value just like we saw after the Internet crash. Where companies that emerged in social media, companies that emerged such as Amazon, that really do provide true value in the space. That's what's really been missing. That's what's going to be missing for quite a while. It's going to take some time to really show the value of this technology. But mark my words, this technology is massively disruptive. It will disrupt every other sector, I believe, that the Internet couldn't. With Bitcoin itself you could think of it as a global currency that's affecting finance. It's going to be affecting credit card companies. Then with something like Ethereum, it's going to affect everything else. Which as I mentioned, insurance companies, legal firms, manufacturing. Every kind of aspect is going to be touched by this technology.

<00:19:58> That's, I'm guessing, why everybody is here to learn how they can find their way in this space. It's great to see so many of you here, because I remember the first meet-ups I did in 2012, you know, I had ten people come out. I've done about 110 events that I personally put on since 2012. To see the growth, to see the amount of attention in this is something that I saw back then in what happened, but it's really great to see the fruition. My recommendations - and I don't like to give advice to people - is really try to understand what you're doing in here and try to get associated with as many people that know what they're doing and try to get out to many events. If you're in it to make a quick buck, there's going to be a lot of people that are going to get disappointed in this, because without true value, there's going to be nothing that comes out of it. Unless you're really providing true value, really leading through innovation, then things aren't going to go very well.

<00:20:50> What I would suggest is that it's already great that you're here, and that in order to get ahead of the curve - because your sectors are going to get disrupted. There's going to be a lot of jobs that are going to be disappearing. Ones that don't provide value or ones that aren't really providing any true substance are going to get wiped out. The ones that actually - and the people that actually get ahead of the curve and understand the efficiencies that can be created through these systems will actually be the ones that last and test the stand of time. That's what I'm encouraging you to do, is really dig into this. Don't try to make a quick buck in this. It's hard to predict what's going on. For the first time ever, I'd like to say that I don't know how to put my money in the space right now. There's so many different opportunities, so many different things out there that I have such a hard time evaluating what's going on. If I can't evaluate something like this, it's really a crapshoot for people that are just getting into try to understand and identify what they can do. I think I'm out of time right now, but happy to take some questions but thank you very much.

<00:22:04> Maybe it's a bit too central, but how do you see the change in Ethereum for proof of work, proof of stake, how do you think it's going to affect it?

ANTHONY DI IORIO

<00:22:13> The question is how do I see the move from proof of work to proof of stake? Now, it's going to probably go over a lot of people's heads. In cryptocurrencies, you have mining. Mining is the process of generating - of putting resources into a platform and in return you're getting that token in return for putting resources into the platform. With Ethereum, it uses a proof of work model, which means that you have to prove that you're doing work in order to be earning the ether in return. It's moving over to another system called proof of stake. Proof of stake has a benefit of not needing as much resources. A lot of people say in the space that mining is just wasted energy, and it kind of is. It's having to contribute electricity and computing power into these networks to secure them and to create the distribution of the new coins. Proof of stake is just an example - everybody still hear me okay? Proof of stake is just an example of an innovation that's going to come out that's going to remove the need for these wasted resources.

<00:23:15> In this space, it's one of many innovations. One great thing about all these technologies is that - and all these different projects that are emerging - is that it does lead to innovation. The ones that do create these breakthroughs will be the ones that stand the test of time. Those that aren't actually creating innovations or aren't doing very much, will get left to the side. Yeah. Yes.

<00:23:46> Thank you. You've talked about market volatility for this kind of space. We've seen also vulnerabilities of Bitcoin causing a level of vulnerability to the service itself, the level of volatility to the service itself. Do you see the same potential vulnerabilities with your Ethereum approach that we've seen with Bitcoin?

ANTHONY DI IORIO

<00:24:08> Vulnerability is kind of an interesting word. Some people might think that the network or system itself is vulnerable. Just for those who don't know, Bitcoin has never been hacked. Any hacks or anything you may have heard of were always third party subsystems. Systems such as exchanges that are holding on to people's money, where the exchange got hacked. The protocol itself and the system itself has never been attacked - or sorry, has never been compromised, or is not vulnerable. If you're meaning about the different price fluctuations that we're seeing, it makes it very difficult to use Bitcoin as a stable means in order to convert funds or do things, then yes.

<00:24:42> We're at the time when it is very volatile, but consistently it's gone up. It's gone up because it's a fixed and limited supply. It's gone up because it has a great utility of sending value globally instantly. That's why we've seen the price increases, as opposed to what we've seen with general currencies where we see the inflation that hits because governments print more and more money all the time. It leads to the cost of goods is rising, whereas with Bitcoin and other cryptocurrencies, they have fixed and limited supplies for that same reason, is that it provides a scarcity, and things that are scarce have a value that people want to get more so.

<00:25:14> With Ethereum, it follows a similar type of inflation rate, but I'm not too interested in the price of things. The price of things is really the result of these technologies, but it's more about the utility, it's more about what's going to emerge. Currency was the first application of these technologies, but its effects and its disruption on all these other sectors is what really interests me. It's not really about the price of these things and looking at the day-to-day prices and the volatility of it. I think there's much better things and better things are going to come out of the technologies. I've been focusing here. I'm going to hit to the back of the room. There were some questions at the back. Yes?

<00:25:59> Sure. The question is can I speak a bit about the governance of the Ethereum platform? How much time do I have? Time for a couple more questions?

Yeah, of course.

ANTHONY DI IORIO

<00:26:10> Okay. These systems like Bitcoin and like Ethereum are systems that run on their own. They're basically self-reliant. There's no central service that manages it. There's no one entity. There's no one company. They're basically launched and released into the wild and they're managed by decentralized networks. They're managed by groups of people that put resources into them. The more you put in, the more you're earning in return for putting more resources. A lot of game theory that's involved in these technologies. It requires a consensus, or requires a majority of people in order to make changes to the systems. That's a self-regulating system, whereby people putting resources in are extracting the tokens in return. You put resources in, you're getting something in return.

<00:27:01> If you're getting something in return and it's costing you to put something into it, you don't want to hurt the system. You don't want to hurt the system, because then you're basically negating what you're putting into there. It costs money and electricity to put resources into these platforms. The systems are really self-governed, and it requires a majority of people in order to make a change. People are incentivized to make positive changes to the network, because it's very expensive to do something wrong for the system. There's a lot of game theory involved in how these systems work. You're asking about the governance maybe as well of the foundation. There's an Ethereum foundation that's behind Ethereum, which guides it. It was something we set up in 2014. It was something that was done differently than was expected. It was supposed to be run by a company initially. Ethereum was supposed to be a for-profit venture. It was converted into a foundation. The foundation does the major thing right now of just putting on conferences, putting on events that brings people together.

<00:28:00> Aside from that, they don't really have control of the system or don't have any control of the governance of it. Since these things are self-reliant and work on their own, they're basically unstoppable systems that are secured by this massive computing power that's more computing power than all the supercomputers in the world put together. That's what gives it its strength and gives it its security. Same thing with Bitcoin. It's gives it such strength and security that it's impossible to disrupt these systems, because you would need more computing power than exists in the whole world put together in order to disrupt the systems. Any organization outside of the actual systems itself really don't have a big impact, I don't believe, on the technologies. Yes?

<00:28:36> You mentioned about the government gave you some difficulty in your thermal drilling. <inaudible - 00:28:41> we're here to help. Do you see the government now coming in and looking at this space, because it does impact a lot of people? They've already said how are we going to tax this, how are we going to govern this. You know, once again the government shows up.

ANTHONY DI IORIO

<00:28:58> Yeah. I think there's a major opportunity for Canada to take a lead in these technologies and really become global leaders. I think we're positioned. There's been a lot of amazing Blockchain technology coming out of Canada. I think what we need is we need a lot of education in understanding that the potential of this technology is - that it's going to be more important, in my opinion, than the Internet. Information is great, but value transfer is much more disruptive. I think we have the opportunity to ensure that we're understanding the power of these technologies. That 99.9 percent is going to be positive things that come out of these technologies. Yes, there will be negative aspects of it, but let's not let that drive the fear in what we're doing in the regulations of this. I think there's a major opportunity for us to take the lead by welcoming and embracing entrepreneurs, welcoming and embracing these ideas, letting it flourish, not coming down too hard-handed on this, because these are unstoppable forces and they are going to happen.

<00:29:53> It's not going to be able to be stooped. The countries that recognize the potential positives and benefits with new sectors, with new jobs, will be the ones that succeed, and I'm hoping it's going to be Canada.

<00:30:09> It's just a question about I want to know what you think about - because we all say that it's all decentralized, there's no one really controlling everything to make only one decision. What happened about two years ago with the DAO, there was a split at this time with Ethereum to make Ethereum Classic, because there was a big hack at this time. The Blockchain has been hacked.

ANTHONY DI IORIO

<00:30:34> Sure. Yeah.

AUDIENCE MEMBER

<00:30:36> At that moment, the decision has been decided only at - by one foundation that we have to do a fork to make sure that money goes back to the right person.

ANTHONY DI IORIO

<00:30:47> Okay, yeah. For those who don't know, a DAO is a decentralized autonomous organization. It's an entity that runs in the cloud that doesn't have any jurisdictional borders that you don't know who's behind it. The shareholders could be completely anonymous. The more of the token you have of that organization, the more say you have in the voting and the governance of the company. Think of it as this potential for massive multi-person entities that can run globally without knowing who's behind it. The DAO was the first example of this technology. The fault there was that there was a faulty contract. A faulty smart contract, whereby money raised for this organization was siphoned out. Ethereum had to make decision whether or not to revert the code in order to get the people's money back. There was $150 million at question that was lost or potentially lost.

<00:31:36> I would say that it wasn't the foundation that made the decision. It was the foundation that did kind of give some guidance on that, but at the end of the day it was the miners that had to make that decision in order to actually decide to do the split and or to do the fork that allowed people to get their money back. I believe it wasn't a smart decision, I think immutability is one of the major things about Blockchain. If you lose immutability and be able to go in and change things back and say that things are too big to fail, you're back in the old systems. It was consensus that was decided and the consensus was that they will revert the code back. It was a consensus versus immutability decision. Consensus won out, and that's basically what happened with that. I think I'm out of time, but I'm going to try to hang out after. I do have flight at noon, but I will try to hang around for a bit afterwards. Thank you very much.

<00:32:29> Hi, so my name is Laurent Feral-Pierssens. I'm with KPMG, I'm also a pacer, so I'll try to mind my space. I am with the emerging tech practice at KPMG. I'll try to put some macro structure to what Anthony described through his personal story. The first thing is there's currently five technologies shaping the world and driving change. Digitalization, big data, we all know what it is, artificial intelligence, Montreal is now the centre of the world for this, Blockchain that was are talking about today, and Internet of things. This is very important, because we're talking about Blockchain, but we have to remember that it is inscribed into all of these changes that are moving rapidly. We just talked about automatization through Blockchain. There's automatization through AI, there's data through Internet of things and the likes.

<00:33:48> Blockchain is a technology called innovation. I have a hard time using the world technology, because yes, there's the underlying technology, but it's bringing to life so much more. We've been talking about different subjects here for that. It's been created in order to - initially in order to decentralize transaction and make ourselves our own bank. What it created through the creation of a uniform registry ledger, is that there's a single version, a single source of truth. This is very important, because we keep saying immutable, how is it - what's the impact for all of us? It's like if all of us had access to the same truth. Most of our institutions, organizations, rely on trusted third party for that same truth. Now we own it. Individually, we all look at the same thing. We've been talking about transactions. Great. There's much more than transaction. We just talked about contracts, we can add votes and much more are coming, and innovation is driving the platform globally.

<00:35:27> There's one point that's very important. I keep hearing the Blockchain, or I will do it on the Blockchain. Well, it's not the Blockchain, it's many Blockchains. Each one of a network we've talked about, Bitcoin, Ethereum and there's many more, they are separate. There's some details to that, but basically, we have to think about a network for voting in specific circumstances, a network for smart contract that Ethereum is, a network for value that Bitcoin is. There's hundreds of those potential applications. Now, as we've said, it is very much like the innovation of the creation of the Internet. Some say it might actually be a more profound transformation, because it transforms something that the Internet couldn't.

<00:36:38> Now, which are those components? There's three key components we need to look at: the technology, the digital - the distributed leger technology. It also creates crypto assets that is underlying. We hear crypto currencies, there's different terms underlying this. It is a central part of the network and the creation. There is the smart contract, the ability to automatize some elements on the Blockchain automatically. Anthony gave a few examples of those. This is what is actually created, but there's two additional components that is to be taken into account in everything we do. Every project we look at, we look at these three. What's the technology underlying, what's the crypto asset that is being created, what are the potential of automatization, but there's two more. There's the crypto economy, so these are the governance, the distribution models, the social environment that it creates, the incentives for stakeholders that are created. Because as Anthony just mentioned, minors is our - we've all heard - might have heard about minors. There are new types of stakeholders in a structure that are created. We need to look at this as a single ecosystem, a single economy. We talk about crypto economy like we used to talk about the digital economy. It's really the same. This is to take into consideration.

<00:38:37> The last part is that it does create a liquid market. We're talking about volatility and getting into it and money trying to look at - money trying to find a way for quick gains, for example. The liquid market, the fact that you can transfer from one person to another creates something new. All those five components are the ones we look at when we look at the project, to understand is it a Blockchain project? Is it viable? Is it useful? How is it going to change the industry or the environment that we are in?

<00:39:32> Now, we talked about the Internet, you might remember. We're really in the '95, '96, 1995 and 1996 world of the Internet. We're really at the bottom of this list. The Internet, in order to mature and have the Facebook, the Google, the infrastructure, <inaudible - 00:39:52> etc., had to go through a number of layers that needed to be created. We went through it from '95 to today. That's over 30 years of innovation from the origin. Well, we're at the protocol level on the Blockchain side. The smart contract that was invented, there's the decentralized application, but what's out there after this? Well, we don't know. There will probably not be the same. They're most likely not going to be the same and we are innovating as we speak now on all of those layers.

<00:40:37> There's four types of projects. We again hear a lot about I want to do this Blockchain project. Well, a framework is useful. The framework we use is the following four types of projects. Infrastructure projects like Ethereum. Adoption projects that are going to help the network, or the networks in this, case grow. The adoption of a Blockchain within our structures, within our economy, is essential. The example of a parallel with the Internet is the browser. The invention of a browser is an essential part of the adoption there. The third one is the launching first application, and I'll give a couple of examples in a second. Blockchain first applications are environments that - or products that couldn't exist if the Blockchain or innovation wasn't done or hadn't been created. The last one is the permission Blockchain. These are not complete. There's other different types, public, private Blockchains, and other environments. These are the ones we use as being complete.

<00:42:08> Now, it's hard to understand, and I see a few eyebrows raising here. Why is it so hard to grasp? Because the transformation is profound, the change is drastic. Well, there's three reasons. There's no intrinsic value, and that's usually what we hear. What's the value of this? The second one is there's no physical form. For the first time ever, a digital entity or digital product, a digital file, is unique. It creates a new category of assets. The supply is not controlled centrally. There's no authority for this. Well, the network is itself the authority for it.

<00:42:59> These elements are the ones that make it hard to understand. There is use cases, there is applications, there is hundreds if not thousands of projects around the world that are trying to grasp Blockchain and implement. In financial services, in payment, in capital markets obviously, but also in healthcare, legal environment, art, edit, publishers. There are so many more use cases out there. Some of them are public, so public networks being created. Some of them are within organizations, and some are in between through consortiums.

<00:43:48> Let me give you a few examples in the real world. For example, Spotify. Who uses Spotify, iTunes? Everyone, I hope. Okay. Well, every time you listen to a song, there's a marker that says there's one stream that was activated. Well, Spotify understands that you can automatize the attribution of rights and the money to the artist, down to the artists. Do you know how it's managed today? Through lawyers, contracts and a pyramid of agreements. Well, we understand now that from the moment you click on a song, to rights being distributed to the artist, that is fully automatizable. One example. Second example is new products. AXA the world - one of the largest insurance companies in the world, is using Ethereum to build a new product. It's the flight delay and cancellation insurance that would automatically reimburse the right settlement as soon as your flight is delayed by more than three hours - that's a law in Europe - and would reimburse the flight if it gets cancelled. This is happening. These are companies working on the public network, making those smart contracts and working on integrating with their old ways into their new ways.

<00:45:37> The number of people, the value chain within an insurance company, is completely different when it's automatized on a network. Delaware is actually authorizing now the record-keeping of stock certificates on the Blockchain, for voting right, the voting of the AG, for example. This is done today. Delaware has authorized. Can you imagine if we can remove - I'm sorry guys from law firms - but black book from our companies? We don't need it. We really don't. The Blockchain can, or a Blockchain can help. There's quite a bit of work on that as we speak.

<00:46:30> There's also governments. You might be aware of the Estonian government that is deploying Blockchain a much as possible within their digital transformation, or digital enablement. They are using it throughout, from identity to the legal court proceedings. They're not going to the currency yet for other reasons, but they are actively transforming everything they do on a technology that is relying on Blockchain. It also creates new elements, new types of fundraising capability. We talked about the ICO. Who hadn't heard of ICOs before coming here? Okay, so very few. That's good. ICO is really a new way to raise funds. It is something that is big. I'm sure Paul and Jean-François will talk a bit more about it. Three point five billion were raised through ICOs since January. That's more than the seed rounds of the VC world since January.

<00:47:59> Blockchain is a great opportunity for our economy, our societies, our companies, from automatization to a new way of looking at industries as a whole. Thank you.

J'espère qu'il n'y aura pas d'intervention, de hackers visuels, ou il y aura peut-être des danseurs à claquette qui vont rentrer en arrière. Bon, en tout cas, on va s'adapter.

<00:48:51> Je vais vous parler d'un tout autre angle, parce qu'il y a des personnes de tech beaucoup plus calées que je le suis. Je vais vous parler de ce que, nous, on pense et de l'angle d'attaque de ces nouvelles technologies disruptive, si on veut.

<00:48:51> J'ai été, puis ça me rappelle quand j'étais en 96, 95 puis j'avais ma première boîte de tech, puis il fallait que j'épelle Internet, I-N-T-E-R-N-E-T, puis c'est des ordinateurs qui se parlent. Je parlais à DVC et la plupart du temps ils trouvaient que c'était une mode. Après ça, quand je vois qu'aujourd'hui Blockchain… je me souviens à mon premier comité aviseur, on a parlé qu'on voulait faire un ICO. Jean-François, qui était là, dit : Block comment? Blockchain. B-L-O-C-K. <00:rire> Il fallait que j'épelle Blockchain. Ce qui m'inquiète le plus, ou qui me console aussi, c'est Gowling, les avocats. Quand les avocats s'en mêlent, c'est qu'il y a une vraie business en arrière. <00:rire> D'habitude, c'est que c'est un bon signe. Donc, je suis content. Merci beaucoup d'avoir organisé ça, c'est assez intéressant. On était à Toronto, chez Gowling aussi, c'était salle comble. C'est le même phénomène aujourd'hui.

<00:50:10> Je vais revenir avec un angle un peu différent, où la technologie n'est pas une fin en soi. Il y a beaucoup trop, comme Anthony disait, d'ICO où, ah!, on va faire un ICO, on va lever du cash. Ça me fait tellement penser au dot com, effectivement, quand j'avais une boîte à cette époque-là et qu'on essayait de faire de la vraie technologie. Il y avait à San Francisco dog dot com, puis ça levait 250 millions. Yes! Puis on s'achetait des Jaguar puis des Porche à l'époque. Mais il faut faire attention. La technologie, ce n'est pas une fin en soi. C'est un moyen d'arriver à faire des choses qu'on ne pouvait pas faire avant. Ça, c'est bien important. Alors, comment est-ce que la première logique qu'il faut qu'on ait quand on dit : est-ce un bon projet ou pas un bon projet de Blockchain? La question est : est-ce que c'est un bon projet? Point. Quand on parle de la dame sur la musique, ici, ça, c'est un vrai problème. Comment est-ce qu'on peut gérer ou améliorer la répartition de la richesse de manière plus équitable? Bien, là, la Blockchain a peut-être des solutions. L'Étherium a peut-être des solutions aussi.

<00:51:14> Donc, c'est un peu l'inverse. Ce n'est pas une fin en soi, c'est la manière d'améliorer des choses qu'on ne pouvait pas faire avant. C'est un peu ça que je voulais vous présenter et c'est pour ça que, nous, on n'avait pas le choix. Pas parce qu'on voulait être plus fins et que j'aime beaucoup mes amis de l'AMF. Je les aime beaucoup, les gens de l'AMF. Mais c'est que fondamentalement on ne pouvait pas, nous, si on lançait - je vous expliquerai pourquoi on a lancé une cryptomonnaie qui s'appelle Impak Coin - on ne pouvait ne pas aller sur la voie réglementaire qui implique de la transparence. C'est impossible parce que l'ADN de notre projet fait en sorte qu'il faille aller par là. Effectivement, la Blockchain nous permet de faire des choses qu'il y a 10 ans c'était impossible de faire.

<00:51:56> En même temps, il y a beaucoup de choses qu'on n'a pas besoin de la Blockchain dans notre projet. Quatre-vingt-dix pour cent, en fait, du projet n'a pas besoin de Blockchain. Cependant, il y a les éléments, les petits éléments nouveaux, qui sont justement d'avoir un échange, ce qu'on appelle un crypto asset, qui puisse se faire et aussi la transparence qui vient avec le concept de la Blockchain. Ça, c'est des éléments importants. Ça fait que pour moi un peu, quand j'explique ce qu'est la révolution Blockchain, c'est avant tout une manière dont une communauté puisse se rassembler, coder les échanges entre elle et aussi coder le partage de la valeur ajoutée de cette communauté. Ça, c'est important. Donc, il y a des compétiteurs à Uber - Uber - qui est fantastique en termes de user experience, mais en termes de répartition des richesses, on repassera. Mais il y a des projets, comme en musique, qui vont… Et ça, c'est des aspects qui sont intéressants de la Blockchain.

<00:53:01> Parlant de notre projet, puis je vais vous revenir un peu de façon concrète sur ce qu'on a fait et comment ça s'est fait, le projet initial… On vient de parler que ce qu'on a fait, on a lancé la première cryptomonnaie qui était dédiée à une économie qui s'appelle l'économie d'impact, le Triple Bottomline Economy. Pourquoi est-ce que la cryptomonnaie était un produit essentiel pour nous? On y reviendra après. Ce qu'on veut régler quelque part, le projet d'impact est beaucoup plus qu'une cryptomonnaie. Ça n'a rien à voir. La cryptomonnaie, c'est un moyen, un outil qui va nous permettre de faire ce qu'on veut faire. À la base, ce qui nous motive, c'est qu'on ne peut plus ignorer aujourd'hui qu'on a quelques petits problèmes au niveau sociétal. Ceux qui l'ignorent devraient un peu plus lire les journaux et écouter les gens de la COP23, entre autres.

<00:53:52> Le deuxième constant, ce qui est important pour nous, c'est que la confiance envers les institutions, pour ne pas dire les banques, on a confiance qu'ils vont faire du bien avec notre argent. Mais est-ce qu'on a confiance à ce qu'ils nous disent, est-ce qu'on a confiance aux institutions en général. C'a, aujourd'hui, le baromètre de trust, surtout pour les 18-40, il est hyper bas. Et une chose qu'on ne peut pas ignorer non plus, c'est qu'en 2016 - puis ça, c'est un point important - la répartition des richesses est revenue aussi pire et aussi mal en point qu'on était en 1914. Ça, c'est majeur.

<00:54:28> Donc, il y a quelques petits problèmes structurels. On a beau avoir de la Blockchain… j'étais avec une gang qui utilisait de la tech pour faire du high frequency trading, etc., la semaine passée, comme invited speaker au Globe and Mail puis je leur ai dit : si on ne change pas le modèle, on a beau utiliser la technologie pour renforcer le modèle, on n'a rien changé. Ça fait que si on joue au Monopoly puis on pense que le Monopoly n'est pas juste, on a beau changer les dollars Monopoly en cryptomonnaie, ça ne change rien dans la vie. Ça va juste accélérer ce mouvement-là.

<00:55:02> Donc, nous, ce qu'on veut faire, notre contribution, c'est qu'on veut essayer de créer un système qui attire les 18-40 ans à utiliser leur argent comme une force, un catalyseur de changement social. On veut évidemment les attirer avec une app qui coupe les coûts de transaction. Donc, oui, on veut un U-Wallet, multi-currency, qui coupe les intermédiaires pour avoir des avantages de la Blockchain, mais qui en même temps leur permette de façon très, très facile d'avoir accès à une place de marché où il y a des centaines, des milliers de produits et services qui sont accrédités et qui sont d'impact social et, chaque fois qu'ils font une transaction, qu'ils créent de la richesse, ils reçoivent en retour une récompense qui est sous la forme d'une cryptomonnaie qui s'appelle Impak Coin. C'est ça, le projet fondamental et quelque part, ce qu'on veut faire, c'est faire en sorte qu'on puisse aujourd'hui créer un système qui soit un système vertueux, qui fasse en sorte qu'on attire le capital et qu'on puisse le déverser dans une économie réelle puis qui a vraiment un objectif de transformation sociale, environnementale, tout en faisant de l'argent.

<00:56:17> C'est ça l'objectif d'Impact final, d'Impact finances. Et ultimement, pourquoi est-ce qu'on veut faire ça? Parce qu'aujourd'hui, un des problèmes fondamentaux de la société, c'est la surfinanciarisation. Aujourd'hui, les liquidités des banques ne sont pas ou très peu investies dans les petites et moyennes entreprises qui créent par ailleurs 9 jobs sur 10 au Canada puis partout dans le monde. On était en 2008, avant un crash. Bien, on n'est pas loin. Il ne s'agit pas de savoir quand il va arriver. S'il va arriver, il s'agit de déterminer quand est-ce qu'il va arriver.

<00:56:52> Et ça, il y a une surabondance de liquidités. Alors, il y a un problème structurel du système économique. Nous, ce qu'on veut humblement arriver, on dit : on veut être disruptive en utilisant des technologies pour arriver avec un modèle non pas qui brise le système, mais qui le transforme avec des objectifs qui soient environnementaux et sociaux et pas juste au niveau de maximisation des profits.

<00:57:17> Ultimement, avec notre portefeuille électronique, on va commencer par acheter des produits, gagner des monnaies, créer un écosystème de marchands qui offrent des produits et services responsables. Mais aussi, on va offrir des assurances responsables. On va offrir un service bancaire responsable et ainsi de suite. Et l'avantage … et puis on revient pourquoi la Blockchain, c'est si intéressant, parce que ça devient … puis on a l'espérance que l'Impak Coin soit la cryptomonnaie ou la monnaie internationale vouée à l'économie d'impact.

<00:57:46> Là où je suis d'accord un peu avec Laurent et avec Anthony, c'est qu'il y aura plusieurs monnaies qui vont circuler dans le futur. Et ceux qui vont survivre, ce sont celles qui sont sur de l'économie réelle. On me demande souvent : oui, mais la Bitcoin, est-ce que c'est sur de l'économie réelle? Bien sûr. La criminalité peut-être en grande partie, mais c'est réel. Ce n'est pas ça que ça monte. C'est qu'on l'utilise pour de vrai. Bon, est-ce que je suis d'accord avec? Non, pas vraiment - puis j'ai mon avocat au cas que je dise des niaiseries ici - mais la réalité, c'est que les cryptomonnaies, si on parle des cryptomonnaies, qui est juste une petite, petite, petite partie de la Blockchain - comme Laurent le disait, il y a plein d'applications - les cryptomonnaies qui vont survivre comme monnaie complémentaire, ce sont celles qui sont basées sur une économie réelle. Et nous, on a la prétention de dire qu'on est basés sur une économie très, très réelle et en plus qui est alliée avec des valeurs de transformation sociale puis environnementale.

<00:58:40> Donc, ça, c'est un peu le pitch qu'il fallait que je vous fasse. Ce qui est intéressant dans tout ça, nous, on a bâti notre approche en faisant du codesign thinking. Stéphane, qui est un de nos associés, nos partenaires ici, il y a Pascal aussi qui a travaillé sur le concept, on a commencé en 2016 et on a fait le tour du Canada puis on leur a demandé qu'est-ce que vous voulez, comment vous voyez la banque de demain. Après ça, on a fait une première equity crowdfunding, où on a fait en 2016 un record canadien. On a levé un million en pas beaucoup de temps. Ça nous a démontré qu'il y avait un intérêt pour ce produit. On a commencé à travailler et on a conclu qu'il fallait démontrer puis apporter au projet une monnaie complémentaire qui ne puisse pas seulement circuler dans l'économie, mais aussi une manière de créer de la loyauté et que ça devienne viral. Pour faire en sorte que ce ne soit pas seulement les hyper-militants, mais les militants soft qui utilisent ce système.

<00:59:40> C'est ça, un système. C'est que, moi, je vais pouvoir l'utiliser parce que c'est cool, parce que mon voisin l'utilise puis en plus, je gagne des Impak Coins. Puis, ah, oui, by the way, ça fait du bien. Ça pour moi, c'est un moyen qui est vraiment transformateur. Quand on est arrivés à l'idée de dire : ok, on veut créer une cryptomonnaie, une monnaie complémentaire qui fasse le pont entre toutes les monnaies complémentaires locales du monde, bien, on n'a pas le choix, il faut aller légal. Pourquoi? Parce qu'on veut travailler avec des institutions financières qui ont les mêmes valeurs dans le monde. Donc, on a appelé notre ami Jean‑François Costa puis on a dit : bon, ça fait 20 ans que je dirige des compagnies publiques, on va aller revoir nos amis de l'AMF. On débarque tout naïvement à l'AMF en février avec notre white paper. À cette époque, Jean-François n'était pas venu, il y avait son partenaire Costa. On débarque à l'AMF et on ouvre la porte puis en face de nous, j'étais avec mon avocat puis moi puis François, il y avait 14 avocats. Ça commençait. Je me souviens d'une des discussions à l'époque, c'est que pour faire le KYC, donc, le know-your-client, ils disaient : oui, pour faire le suitability test, nous, on remplit des PDF puis on envoie ça par fax. Mm. Ça commençait bien. Par fax. J'ai dit : oui, mais notre clientèle cible ne sait même pas c'est quoi un fax. On fait quoi?

<01:01:01> Cependant, on s'est assis avec l'AMF, puis je dois dire, Patrick Théoret qui a dirigé ça puis qui s'est battu comme un diable dans l'eau bénite pour convaincre les autres provinces, parce qu'on en avait 14 à l'AMF, mais on en avait 12 à l'OSI. On avait huit avocats au BC puis à l'Alberta, Saskatchewan. Ça veut dire que ça fait 80, 90 avocats qui scrutaient à la loupe puis qui essayaient de deviner comment ça va se passer dans cinq ans. Il y avait des réponses que je n'avais pas, tu sais, puis je dis : ah, ça va être bleu… oui, ça va être bleu pâle à peu près dans cinq ans. Mais on ne le sait pas. On essaie de créer.

<01:01:32> Cependant, le Canada - où je suis d'accord avec nos panelistes ici puis avec les Gowling - a une vraie opportunité. Puis je pense que si on continue, nous, à pousser puis aller vers les autorités pour leur dire qu'il faut qu'ils soient innovants. Même si pour moi, cinq mois, ça paraissait comme un quart de siècle, eux, c'était la vitesse de la lumière. Rappelez-vous, 80 avocats, la lumière. Six mois, oh, on a été vite. Quand même, c'a été une belle aventure.

<01:02:05> Aujourd'hui, ce que c'a fait et ce que c'a créé, c'est que ce projet qui utilise la Blockchain pour les bonnes raisons (la transparence, la protection du citoyen), on s'est fait basher par les crypto-investors. Pourquoi? Parce qu'on passait dans un monde de non-anonymité. Chaque fois qu'on voulait acheter un Impak Coin, il fallait qu'on dise qui on était, puis il fallait le démontrer qu'on était celui qu'on dit qu'on est. Puis aujourd'hui, on a 3 000 propriétaires d'Impak Coin, on en a refusé à peu près 5 000 à 5 500. Beaucoup de Russes, beaucoup de Chinois qui ne voulaient pas dire qui ils étaient puis d'où ils venaient. Non, je fais des gags, mais, quand même, il y a eu 5 500 refus parce que dans le KYC qui était sur le mobile, il y avait des questions à savoir qui vous êtes. Il fallait le tester, puis il fallait démontrer qui on était.

<01:02:55> Cependant, même si ça nous a fait à court terme refuser beaucoup d'investisseurs, ce que c'a fait, c'est qu'il y a une dizaine d'institutions financières qui croient aux valeurs qu'on défend, celles de l'économie d'impact, qui nous ont appelés. À Amsterdam, en Angleterre, en Nouvelle-Zélande, en Australie, aux États-Unis. Bientôt au Canada, ils vont finir par savoir qu'on existe puis ils vont nous appeler, mais bon, ça, c'est une autre question.

<01:03:19> Mais ce qui est intéressant, c'est que le fait qu'on soit légal puis qu'on travaille dans les clous puis qu'on soit à la fois innovants, ça fait en sorte qu'on est capable d'aller vers ce qu'on appelle le mainstream. Puis effectivement, dans nos 3 000 personnes qui ont acheté des Impak Coins d'avance, il y a 55 % de celles-là qui ne savaient même pas c'était quoi une cryptomonnaie avant de connaître l'Impak Coin. Donc, on a gagné notre pari. C'est à peu près ça, Stéphane, 55 % qui ne connaissaient pas c'était quoi, les cryptomonnaies? C'est ça.

<01:03:55> Et dans les 3 000 personnes qui ont acheté des Impak Coins, il y a 50 % qui étaient en dehors du Canada. Les deux autres… les trois pays qui suivaient le Canada, c'étaient les États-Unis, la France, l'Angleterre. Donc, c'est assez intéressant de voir que l'intérêt dans une monnaie complémentaire sur la Blockchain, mais qui répond à des valeurs sociales, un set de valeurs, et qui prône la transparence et que la Blockchain permet aussi, est assez intéressante.

<01:04:26> Puis ce qui est particulier dans notre cas, c'est qu'effectivement, nous, on a pris une technologie décentralisée, mais on a pris une gouvernance relativement centralisée. On a créé un organe de gouvernance pour s'assurer que le prix de l'Impak Coin ne soit pas instable par rapport au Bitcoin parce que si on veut que des marchands l'utilisent, il faut qu'il y ait une certaine stabilisée. Donc, on a créé une espèce de fondation, un organe de gouvernance qui va être indépendant, qui va déterminer le prix à tous les trimestres.

<01:04:50> On a créé aussi de faire en sorte que le mining ne soit pas… soit permission based mining. C'est un autre choix qu'on a fait, qui s'est fait par les puristes du monde des cryptos et ils n'étaient pas d'accord. Mais pourquoi on fait ça? Parce qu'on veut que le mining soit fait par des organisations qui soient value aligned. Notre fonds de commerce, nous, c'est d'être 100 % dédiés à économie d'impact.

<01:05:18> Alors, c'est un peu tous ces éléments-là qui sont intéressants, une technologie comme la Blockchain, si on a un projet, avec son ADN, ses objectifs, sa mission et puis sa vision, bien, après ça, on prend la technologie puis on prend les meilleurs éléments. Puis, comme je le répète aujourd'hui, pourquoi est-ce qu'on est sur la Blockchain? Parce qu'il y a bien du monde qui sont très techniques et qui disent : tu n'as pas besoin d'aller sur la Blockchain pour faire ce qu'on fait. Oui et non. Il y a deux éléments qui sont essentiels pour nous si on veut une cryptomonnaie avec toute la capacité d'encryption : il faut que ce soit sur la Blockchain et la transparence. L'aspect de pouvoir montrer les blocs de transactions pour éviter la manipulation des datas, c'est hyper important.

<01:06:09> Oui. Ça, c'est un bon point. L'économie d'impact, le impact investment, qu'est-ce que c'est? C'est un mouvement qui existe depuis une quinzaine d'années. C'est vraiment la suite de ce qu'on appelle tout le mouvement du développement durable. Ce sont des organisations, des entreprises qui offrent des produits et des services, qui règlent un problème environnemental ou social en faisant du cash. C'est essentiellement ça. Ce que Anthony avait comme entreprise, c'était une entreprise d'impact. Il faisait de la géothermie green. Ça, ça en est une. Téo Taxi, c'est une entreprise d'impact. Luffa Farms, Alvéole, Renaissance, Pentagonia, ainsi de suite. Donc, ce sont des entreprises. Ce qui est étonnant, c'est qu'aujourd'hui, quand je fais des conférences dans des écoles de commerce, la plupart des jeunes quand je leur dis : qui veut partir une entreprise? Quatre-vingt pour cent sont dans cette voie d'économie d'impact.

<01:07:01> Donc, l'économie d'impact, c'est aussi foisonnant. Pourquoi? Parce qu'il y a plein de fonds de travailleurs qui souhaitent investir leurs fonds, désinvestir des énergies fossiles entre autres, etc., et cherchent à investir dans cette économie d'impact. Oui.

Entre autres, les 17 objectifs du développement durable de l'ONU, les SGDs. C'est vraiment un standard connu. Donc, on se base sur les recherches et ce qui existe dans le marché actuellement.

<01:09:33> Pour faire le parallèle qui a été fait entre l'Internet et la Blockchain - moi, j'ai connu ces vagues-là, ça fait presque 25 ans que je fais du droit des affaires. Quand l'Internet a débuté, je me rappelle qu'on disait : bon, bien, c'est dans les Internet, donc il n'y a pas de loi qui s'applique, on peut faire ce qu'on veut, si je suis le premier à réserver le nom de domaine McDonalds, bien McDonalds va devoir l'acheter de moi parce que c'est moi qui l'ai.

<01:10:01> Bon, assez rapidement, on s'est rendu compte que des corporations qui ont des intérêts économiques, etc., des gouvernements et autres, que les lois, ça s'applique à tout, tout le temps. Que ce soit basé sur une technologie, oui, ça peut rendre peut-être des applications un peu plus complexes, mais tout ça ne se fait pas dans un vase clos. Donc, quand Laurent a montré tout à l'heure la slide où on voyait l'évolution des ICO, évidemment, quand on voit en 2017 des centaines de millions changer de main, évidemment, bien, tout ça attire l'attention des parties civiles, des parties prenantes et ça pose des questions d'ordre, par exemple, réglementaire. Est-ce que c'est possible de lever des centaines de millions de plusieurs types de contribuables, d'investisseurs et de penser qu'on peut faire n'importe quoi avec cet argent-là et qu'il n'y aura jamais quelqu'un qui va venir nous dire : bon, bien, écoutez, vous avez potentiellement fait quelque chose qui est illégal?

<01:11:07> Donc, quand Paul est venu nous voir avec son projet de ICO, évidemment, nous, on faisait de la veille légale de ce côté-là, c'est sûr que les autorités réglementaires, la SEC, les autorités comme l'AMF, les OSI, déjà avaient dans leur collimateur les diverses émissions qui avaient été faites. Dans l'Internet, je pense qu'on est en train de passer du dark web au mainstream en ce moment. C'est ça qui est intéressant avec le projet d'Impact Finance. On s'est dit : bien, nous, on veut faire ça correctement, on veut faire ça à partir du Canada. Donc, ça serait intéressant de voir si on peut faire ça sans violer la législation en place, donc sans violer par exemple la Loi sur les valeurs mobilières. Parce qu'évidemment, les autres émissions qui se faisaient dans le monde étaient soit en fait à partir de Singapour, à partir de la Suisse, avec des fondations aux Îles Caïmans. On voit le style. On voit que ça ne s'adressait pas nécessairement à la même clientèle. Donc, les gens qui voulaient acheter des monnaies de façon anonyme et qui sont contents s'ils en retrouvent 10 % à la fin parce que de toute façon, cet argent-là, ils n'auraient peut-être pas pu l'utiliser autrement.

<01:12:14> On ne parlait pas tout à fait du même projet ni du même produit. C'est sûr qu'au départ, on a regardé, on a fait l'analyse de dire : est-ce que nécessairement l'émission d'une cryptomonnaie consiste dans l'émission d'une valeur mobilière? C'est ça la question qui déclenche l'application de la Loi sur les valeurs mobilières. Ce n'est pas parce qu'on est dans une nouvelle technologie que ce qui avait avant ne s'applique pas. La question d'émettre ou pas une valeur immobilière, ça fait longtemps que c'est une question qui a été débattue sur toutes sortes de nouveaux titres. Puis, on a un arrêt de principe qui est un arrêt de la Cour suprême des États-Unis qui date de 1946, qui établit les quatre critères qui font en sorte qu'on est ou pas dans le cadre de l'émission d'une valeur mobilière.

<01:12:58> Les quatre critères, je les ai mis au tableau. Est-ce qu'on a à la base quelqu'un qui fait un investissement en argent? Un peu plus loin, on a élaboré un petit peu plus, ça pourrait être en biens aussi. C'est sûr que quand on émet une cryptomonnaie, on l'émet contre quelque chose, que ce soit un Bitcoin, que ce soit de l'argent canadien, que ce soit autre chose. C'est le premier critère qui s'applique pour voir si on est en train d'émettre une valeur mobilière.

<01:13:23> Est-ce que, ce faisant, on fait ça avec une expectative de profit? Ça, c'est un élément de discussion, parce que ce n'est pas clair dans tous les cas. Mais avec ce qu'on a vu, les tendances sur le Bitcoin et l'Éthéreum, bien, c'est sûr qu'en ce moment, quand on émet à peu près n'importe quelle nouvelle monnaie digitale, bien, je pense que des gens pensent qu'ils vont faire par ailleurs un profit plus grand que juste l'investissement qu'ils ont fait. Donc, l'investissement sert à une entreprise commune. Ça, c'est assez clair.

<01:13:51> Le quatrième point, et c'est peut-être là où il y a beaucoup de discussions, c'est : est-ce que le profit anticipé par l'investisseur va résulter de son propre travail ou bien du travail de quelqu'un d'autre? Si la personne pense qu'en achetant de la cryptomonnaie, elle va s'enrichir grâce au travail, par exemple, d'un écosystème comme dans le cas d'Impact, il y a plus de chances qu'on soit en présence d'une émission qui soit une émission de valeurs mobilières.

<01:14:17> La bonne nouvelle - puis, je veux remercier Paul pour avoir reconnu le travail extraordinaire qui a été fait par l'AMF et les autres autorités réglementaires canadiennes - on est dans une situation où, comme c'est nouveau, elles ont mis à notre disposition ce qu'on appelle des bacs à sable, des sand box. Donc, c'est possible, avant de se mettre les pieds dans les plats, d'aller s'asseoir avec les autorités réglementaires, d'expliquer le projet puis de voir quelles vont être les positions qui vont être prises si jamais on va de l'avant avec ce projet-là. Ça permet de s'adapter en cours de route et de s'assurer, une fois que l'émission est faite ou dans le cours de l'émission, qu'on ne va pas recevoir un avis de défaut et de contravention aux lois. Donc, ça nous permet de ce côté-là d'obtenir une vue.

<01:15:07> Alors, si on décide que l'émission qu'on est en train de faire consiste en l'émission d'une valeur mobilière, qu'est-ce que ça implique? Un instant, je vais avancer ma slide. Mets-la en anglais, d'abord. La première chose, c'est qu'on va vouloir obtenir certaines exemptions réglementaires pour pouvoir procéder à notre émission. Dans le cas de celles d'Impact, on avait deux exemptions qu'on voulait obtenir. La première, comme ce n'était pas fait via un courtier, c'était Impact Finance elle-même qui a fait l'émission, c'était de ne pas avoir à s'enregistrer comme courtier.

<01:15:46> La deuxième, c'est d'entrer dans des dispenses de prospectus qui peuvent être applicables lorsqu'on fait des émissions de valeurs mobilières. Comment on fait ça en pratique? En pratique, il faut voir qu'il y a une évolution là-dedans qui se fait. Les émissions, traditionnellement, on a à la base un document qui s'appelle un white paper. Le white paper, c'est un document qui décrit principalement c'est quoi la cryptomonnaie puis à quoi elle va servir. Il y en a qui ont trois pages, il y en a qui ont cinq pages. Ce n'est pas tout à fait suffisant pour que les investisseurs puissent y voir clair. Donc, ce qui a été convenu avec les autorités, c'est de prendre le white paper et de le transformer en offering memorandum ou notice d'offre. Donc, à ce moment-là, les avocats rentrent dans le document puis au lieu d'avoir cinq pages, il y en a 50. Bon, 45 de disclaimers, sur pourquoi ça ne va pas marcher, c'est quoi les facteurs de risque, comment les gens vont perdre tout leur argent et l'absence de recours qu'ils vont avoir. OK?

<01:16:42> C'est là où on intervient et que, nous, on voit l'opportunité d'affaires, pour être clair. Ce que ça implique, évidemment, si on veut utiliser les exemptions de prospectus, c'est un peu comme dans les placements publics pour les petites sociétés boursières, etc., on a des exemptions qui s'appliquent, une limite de 2 500 par personne, sinon, il faut être un investisseur accrédité. À ce moment-là, on peut souscrire au plein montant. Mais évidemment, il faut le démontrer parce que si on fait un processus complet comme celui qu'on a fait avec Impact, bien, ce que les autorités vont nous demander, ces d'appliquer le KYC, know-your-client. Ce qui a été fait dans le cas d'Impact. Et, effectivement, ça fait en sorte qu'on perd beaucoup de joueurs parce qu'il y a beaucoup de personnes qui veulent acheter ça de façon anonyme. En faisant le KYC, ce qu'on applique en fin de compte, ce sont les dispositions contre le blanchiment d'argent, donc les money Anti-Money Laundering Rules. Donc, s'assurer qu'on n'est pas en train de recycler du produit illégal ou du terrorisme, etc.

<01:17:42> Donc, on fait ça. Est-ce que, une fois qu'on a conclu c'est quoi notre statut, on a émis des valeurs mobilières, on n'est pas vraiment une compagnie publique. On est quand même un reporting issuer. Donc, ça, ce que ça va amener, c'est, a posteriori, ça va demander du reporting. Donc, du continuous disclosure comme Impact va le faire et qui va être principalement lié à la monnaie; donc, comment est-ce qu'on détermine le prix, comment est-ce que le prix varie, etc., sur quoi on est comme actif. Ça vient quand même avec un certain fardeau additionnel.

<01:18:17> Je n'ai plus de temps, je vois que j'ai dépassé. Donc, il y a des moyens. On est en train de streamliner des processus pour rendre ça plus facile. Le dernier lien peut-être que je voulais juste faire, c'est que quand on fait des émissions comme celles d'Impact, qu'on qualifie d'émissions de valeurs mobilières, bien, il faut se poser dans l'environnement, les autres autorités qui vont regarder ça vont considérer ça comment. Ma collègue Laura, tantôt, va vous entretenir peut-être de ce que les autorités fiscales pensent de tout ça. Parce qu'évidemment, est-ce que si on émet une valeur mobilière au sens de la Loi sur les valeurs mobilières, est-ce que c'est la même chose au niveau de la Loi sur les impôts? Ce sont des belles questions. Tout ça ne se fait pas en vase clos. Si vous avez l'intention de procéder à un ICO, l'important, c'est de venir nous voir avant et non pas après.

At the Heart Of The System : A Technological Vision and Approach

<01:19:19> On va passer à un angle d'attaque légèrement différent puisqu'on va parler un petit peu de mathématiques et d'informatique. On va survoler ça très rapidement, parce qu'il y a 23 slides qui parlent un petit peu de ça. Le but, c'est de commencer à énumérer les problèmes qui sont reliés aux problèmes mathématiques et informatiques qui sont tout le temps présents au niveau de la Blockchain ou les Blockchains, ce qui fait que c'est toujours très, très problématique de comprendre ce qui se passe et de comprendre les principes dès lors qu'on a de la cryptographie, on a des réseaux d'ordinateurs distribués, etc. C'est un peu le but de la présentation, de passer à travers ces paradigmes, de les survoler et puis d'énumérer un petit peu les problématiques qui sont reliées à ça.

<01:20:00> Negotium travaille dans le monde de la Blockchain et également du big data. Les deux domaines sont maintenant étroitement liés. Éventuellement aussi, il commence à y avoir des liaisons avec l'intelligence artificielle. C'est une compagnie montréalaise avec 80 employés à peu près. Elle consacre actuellement à peu près 3,5 millions de dollars dans les activités de recherche et de commercialisation concernant la Blockchain et le big data.

<01:20:30> Alors, au niveau d'une compagnie comme Negotium, le but, au niveau de son positionnement stratégique, c'est de se positionner au niveau de la technologie, aussi bien au niveau de la propriété intellectuelle avec nos agents de brevets qui sont comme par hasard Gowling et au niveau également de la commercialisation. Vous voyez ici à peu près l'évolution de la philosophie et de la stratégie Negotium au fur et à mesure des années. Au départ, on est sur des outils Microsoft classiques de gestion d'entreprise; on va sur le Web en ce qui concerne tout ce qui est commercial; et après, on a on attaque le big data puisque les données générées par tous ces outils sont tellement importantes qu'à ce moment-là, on a commencé à travailler sur le big data.

<01:21:16> Au niveau du big data, on a relié le big data et on a rejoint les problématiques d'industries 4.0, c'est-à-dire que la Blockchain maintenant se trouve absolument dans tous les domaines. On la retrouve en robotique. On la retrouve en impression 3D, toutes ces techniques d'impression de pièces et de traçabilité au niveau des pièces. Tous ces secteurs, à ce moment-là, sont fondamentaux. On la retrouve sur les fichiers 3D, de façon à tracer les fichiers 3D en ce qui concerne les auteurs et puis d'une façon générale, toutes les pièces qui sont fabriquées aujourd'hui au niveau des machines.

<01:21:49> Au niveau de la Blockchain, comme vous pouvez le voir sur la ligne du bas, tout ce qui est traçabilité, sécurité et authentification des données couvre absolument l'ensemble de la clientèle chronologique, enfin, historique de Negotium et également des nouveaux marchés sur lesquels Negotium s'investit. Alors, il y a deux parties au niveau de Negotium. Il y a des parties qui sont avec des partenaires comme Microsoft ou Elasticsearch. Elasticsearch étant maintenant un joueur fondamental en big data.

<01:22:20> Donc, à ce niveau-là, le point au niveau de Negotium, c'est d'intégrer leurs solutions et leurs plateformes open source et de développer avec eux des solutions. Également des solutions qui s'intègrent à leurs propres solutions. De l'autre côté, on a des partenariats qui sont plus des partenariats d'applicatifs avec différentes solutions qui sont plus dans des écosystèmes IBM ou Ethereum avec différentes solutions qu'on propose.

<01:22:46> Parmi ces solutions, vous voyez par exemple un projet qu'on a avec une société de Québec, une entreprise de Québec sur tout ce qui est environnemental et qui demande à ce moment-là de faire, comment dire, d'utiliser des smart contracts, c'est-à-dire de tracer l'information, notamment pour des sols contaminés, pour savoir qui a effectué le transport des sols, etc. Vous avez des camions qui transportent des sols contaminés. Vous avez éventuellement des drones. Vous avez des GPS, tout ça, etc. Cette convergence de technologies et ce problème de traçabilité fondamentale, on utilise des technologies Blockchains et à gauche, vous avez le type de réseau et le type d'infrastructures qu'on déploie pour pouvoir justement faire l'ensemble du processus de traçabilité essentiellement à partir de smart contracts un peu particuliers parce qu'ils sont cryptés d'une façon différente, mais on va y revenir.

<01:23:39> Au niveau de la Blockchain, d'un point de vue technologique, on a ici le texte fondateur dont tout le monde parle, qui est un texte d'un certain Nakamoto. Alors, ce qui est fondamental aujourd'hui à comprendre, c'est que ce texte est obsolète. Lui-même, au départ, il était déjà obsolète parce qu'il utilisait des technologies ou des méthodes qui venaient d'articles scientifiques qu'il avait amalgamés. Aujourd'hui, l'évolution de la Blockchain, et c'est pour ça que c'est compliqué à faire comprendre aussi, c'est qu'il y a une évolution permanente et que ce genre de texte qui était fondateur, aujourd'hui est totalement obsolète, même si on en parle de façon quotidienne dans les articles.

<01:24:21> Alors, pourquoi la Blockchain, finalement, est si difficile à expliquer? Selon nous, il y a trois points. Au niveau sémantique, on parle de Blockchain. De Blockchain au singulier, de Blockchain au pluriel. Il y a des Blockchains 1.0, Blockchain 2.0 avec les smart contracts, Blockchain 3.0 avec des smart contracts programmables et, en ce qui concerne Negotium, on parle de Blockchain 4.0 avec tous ces problèmes de traçabilité dans l'industrie 4.0, c'est-à-dire tracer des objets qui sont des objets qui sont fabriqués, qui sont imprimés en 3D. Et c'est pour ça qu'il y a un problème de sémantique.

<01:24:54> Vous avez aussi un problème dont on vient de parler et dont on va parler encore plus, qui est le problème mathématique et informatique. Vous avez énormément de notions de cryptographie qui viennent se mêler aux explications, ce qui rend le discours souvent assez complexe à comprendre et vous avez également des termes de finances, d'économie, plus toutes les applications autour de ces notions qui sont toutes différentes. Ça donne des éléments qui sont extrêmement complexes à comprendre. Vous avez également de l'autre côté certains critères, comme les paradoxes sur le contrôle des armes, sur le tiers de confiance, etc., qui sont des éléments problématiques.

<01:25:34> Alors, au niveau de la Blockchain, elle est difficile aussi à expliquer mais à comprendre. Vous avez juste l'aspect de la stratégie de brevets avec les problèmes qu'on doit aborder lorsqu'on brevette avec différents points techniques, savoir qui a créé quoi. Comme par exemple, au niveau de la preuve de travail, au niveau d'Ethereum, par exemple, c'est cette dame, cette chercheuse qui l'a créé. Elle est peu citée, mais au niveau des brevets, c'est fondamental de savoir que c'est elle qui a créé ce genre de choses.

<01:26:06> Au niveau des architectures, lorsqu'on développe des technologies Blockchain, eh bien, on a toujours ce problème de centralisation, décentralisation, etc. Là, on voit les schémas qui expliquent un petit peu ce que sont les schémas centralisés, etc. Lorsqu'on a des robots ou des machines qui vont envoyer et des smart contracts entre eux, on a des topologies absolument différentes. Lorsqu'on est, par exemple, dans un domaine complexe comme ceux de la médecine, à droite, etc., vous commencez à avoir des architectures qui sont composites, c'est-à-dire qu'il y a plusieurs architectures. Il n'y a pas qu'une seule architecture Blockchain. Il y a plusieurs architectures qui se superposent, etc. Donc, ça amène une complexité supplémentaire.

<01:26:41> En ce qui concerne l'évolution des signatures digitales, c'est aussi un problème puisque finalement les Blockchains reprennent énormément des composantes des signatures numériques qu'on connaît aujourd'hui lorsqu'on fait des mouvements bancaires, etc. Mais on retrouve un certain nombre de problèmes qui ont été traités normalement par la Blockchain comme, par exemple, les problèmes de doubles paiements qui sont déjà présents au niveau des signatures technologiques.

<01:27:04> Le problème au niveau de la compréhension des Blockchains, c'est aussi comprendre ce qui se passe au niveau des signatures digitales classiques et savoir comment, au niveau, par exemple, des certificats qui vont être remplacé par les smarts contrats, comment technologiquement on est capable de muter et de passer de la signature digitale classique aux technologies Blockchain.

<01:27:30> Alors, par exemple, ici, vous avez au niveau de l'impression 3D, vous avez, aujourd'hui, à l'heure actuelle, une centralisation des données imprimantes, ces imprimantes qui fabriquent des pièces, par exemple, pour un avion. Aujourd'hui, vous avez, par exemple, un élément d'avion qui va arriver sur une machine et certains composants, différentes composantes qui vont partir sur des machines séparées de façon à ce que tout soit assemblé après. Ça, pour l'instant, c'est centralisé. C'est un peu le schéma qu'on voit en haut à gauche. On voit un ensemble d'imprimantes qui, en bas, font le travail. Lorsque vous êtes en haut à droite maintenant, ce sont des projets où la Blockchain va être utilisée de façon générale pour commencer à décentraliser. Alors, évidemment, il faut tracer l'ensemble des composants, mais également décentraliser complètement les imprimantes avec des ateliers qui sont des ateliers, des véritables machines qui font l'ensemble des pièces, mais qui communiquent entre elles. Par exemple, vous avez des constructeurs comme Michelin au niveau des pneus qui utilisent les Blockchains maintenant ou qui vont utiliser les Blockchains pour l'ensemble du processus.

<01:28:26> Au niveau de la Blockchain, elle est principalement positionnée et basée sur des techniques qu'on appelle du hachage. Du hachage, ce sont les technologies de cryptographie. Vous avez quelques exemples ici. Le point, c'est que un hash, une empreinte, c'est finalement ce qui permet de condenser un fichier quelconque et d'avoir un cryptage de ce fichier. Ce n'est pas réversible, c'est-à-dire que c'est une empreinte, comme une empreinte digitale par rapport à un humain. Et ça, finalement, c'est là-dessus que sont basées énormément de technologies autour de la Blockchain, de façon à utiliser ce qu'on appelle ces hash pour pouvoir pérenniser et avoir horodaté une information et la contrôler.

<01:29:05> Il y a un certain nombre de points qui sont utilisés au niveau de la preuve de travail, mais qui sont finalement des points tout à fait techniques et qui posent un certain nombre de problèmes. Vous avez également, donc, ces hash sont utilisés pour pouvoir faire à nouveau des hash, c'est-à-dire que vous utilisez des systèmes de cryptographie pour rendre l'information de plus en plus difficile à inverser, ce qui est déjà un premier cas, donc pour ne pas avoir accès au datas elles-mêmes, mais en même temps pour pouvoir la compacter au niveau de la mémoire. Vous avez exactement le même problème aujourd'hui avec et les mêmes applications pour pouvoir stocker toute l'information ou le pedigree d'un objet avec toutes les parties et les composantes, etc., qui sont hachées. Ça vous donne un code finalement qui est le code par exemple d'un smartphone pour savoir comment il a été fabriqué et d'où il vient.

<01:29:57> Au niveau des preuves de travail, par exemple, au niveau d'Ethereum ou d'autre chose dont on a parlé tout à l'heure, le problème c'est que ce sont des calculs mathématiques derrière qu'on pousse à faire faire à un certain nombre de personnes pour pouvoir les utiliser dans l'écosystème. Et ces calculs sont stériles. Ils ne servent à rien. Alors, il y a des monnaies comme les monnaies qui sont basées plutôt sur les maths, on dit, bien, finalement pendant qu'on calcule avec des problèmes difficiles, autant faire des calculs qui vont servir à la communauté mathématique. Donc, ça donne des exemples finalement où la preuve de travail est détournée d'une certaine manière pour faire des choses qui sont intéressantes.

<01:30:35> Au niveau de ces algorithmes de hachage et de cryptage, si jamais ils sont mathématiquement cassés ou informatiquement cassés, tout le système s'écroule. Vous avez, par exemple, ici, un système avec deux fichiers différents de couleur différente en Sha-1, ça donne le même hachage. Au niveau d'un système comme… au niveau Bitcoin, si on travaillait sur le Sha-1, vous auriez des collisions avec les fichiers, c'est-à-dire qu'en fait on pourrait avoir des fichiers qui sont de faux fichiers à ce moment-là et tout le système s'écroulerait. Alors, on est obligé de passer sur des opérateurs Sha-256 ou des systèmes de cryptage qui ne sont pas encore cassés. Pendant combien de temps? C'est un des problèmes au niveau des Bitcoins.

<01:31:14> En ce qui concerne les stratégies de cryptage, on a soit des stratégies qui seraient des stratégies de hachage. On voit ici un petit texte en haut à gauche. On voit son empreinte qui est limitée au niveau de la taille, mais on a également la possibilité. Alors, à partir de cette empreinte, on n'est pas capable de retrouver le texte précédent, donc ça pose évidemment… c'est un intérêt. Mais d'un autre côté, on n'a pas la data elle-même. De l'autre côté, vous avez d'autres techniques aujourd'hui sur lesquelles on réfléchit, qui sont d'utiliser le cryptage, c'est-à-dire tout le texte va être accessible à condition de pouvoir le décrypter. Donc, cryptage, hachage, c'est aujourd'hui les paradigmes sur lesquels tout le monde va travailler.

<01:31:55> Au niveau de la crypto, on a aussi des technologies qui avancent. On a des cryptoprocesseurs maintenant, qui vont accélérer les calculs. On a aussi des systèmes cryptodynamiques dans lesquels, par exemple, sur les cartes bancaires, dynamiquement, toutes les heures, vous avez votre code qui est à l'extérieur, à l'arrière de la carte va changer, etc. Donc, ça, ça va modifier évolution de la Blockchain puisqu'on va avoir finalement des codes dynamiques. Et puis, vous avez aussi des algorithmes qu'on appelle homomorphiques, qui sont extrêmement importants, qui visent finalement à transmettre à quelqu'un une information cryptée et à pouvoir avoir des informations au travers de l'information cryptée, c'est-à-dire ne pas lui donner accès à l'information qui est initiale.

<01:32:38> Rapidement, pour terminer, on a les protocoles de confiance qui sont basés sur différentes preuves de consensus. On en voit toute une série, etc. C'est un domaine qui est en constante évolution. On peut en inventer. Ça veut dire qu'à chaque fois qu'on en invente un, eh bien, il y a un nouveau système de cryptomonnaie qui peut arriver. Vous avez à ce niveau-là des preuves qui sont des preuves souvent compliquées à comprendre comme, par exemple, généraux byzantins. Mais vous avez des compagnies qui font finalement leur plan d'affaires et leur différenciateur technologique et commercial vient de ce genre d'algorithmes mathématiques. Donc, vous avez une relation directe entre, par exemple, l'algorithme des généraux byzantins et puis la mise en marché d'une compagnie comme, par exemple, Hashcraft(?).

<01:33:33> Vous avez d'autres compagnies qui travaillent sur des preuves qui sont zéro connaissance, qui sont vraiment des complexes mathématiques difficiles à comprendre, mais qui, encore une fois, justifient leurs différenciateurs au niveau technologique et leurs différenciateurs au niveau commercial sur des bases mathématiques. Donc, vous avez une relation permanente et étroite entre les deux.

<01:33:54> Au niveau, maintenant, d'une des dernières diapositives importantes. Vous avez donc cette possibilité aujourd'hui de rentrer, on voit en bas à droite, sur un réseau qui est un réseau Blockchain. Comme parlait Laurent, il y a différents réseaux Blockchain. Dans ce réseau Blockchain, soit vous y rentrez directement avec vos datas et vos empreintes, c'est-à-dire que l'ensemble va être crypté et va être mis à disposition de l'ensemble du réseau, soit que vous conservez vos datas précieusement chez vous et c'est simplement les empreintes qui vont être envoyées sur les réseaux Bitcoin ou sur les réseaux de type Blockchain. À ce moment-là, on est en train de dissocier complètement les datas qui peuvent être sécurisées chez vous et les empreintes qui ne pourront pas donner d'information sur vos données.

<01:34:42> Alors, juste une ou deux slides pour terminer. Vous avez ici un autre problème qui est un problème d'innovation. Au moment où vous innovez au niveau technologique, qu'est-ce qui se passe? Est-ce que ça va être dangereux parce que vous maîtrisez moins bien la technologie, etc.? C'est ce qui se passe, par exemple, avec une technologie comme IOTA qui est partie sur des propositions technologiques extrêmement innovantes. Le problème, c'est qu'il y a eu des gens du MIT et de l'Université de Boston qui ont craqué le système au niveau… ou qui ont trouvé certaines failles au niveau mathématique, au niveau scientifique et, à ce moment-là, ça s'est répercuté en temps réel sur la charte boursière de la compagnie IOTA si vous voulez. Ça veut dire qu'innover, c'est parfait mais à condition de prendre beaucoup de précautions et d'avoir, au niveau scientifique et mathématique un background ou alors avoir la communauté qui est derrière, etc.

<01:36:25> Bon, vous voyez. Donc ça, finalement, c'est le début de la Blockchain. Ce sont les clés asymétriques RSA. Donc, c'est une technologie finalement qui nous permet d'envoyer de l'information sur des réseaux confidentiels. Et le point, c'est qu'aujourd'hui c'est probablement cette première technologie qui va peut-être refaire évoluer les Blockchains au niveau technologique d'une façon tout à fait nouvelle. Voilà. Est-ce il y a des questions? Oui?

<01:36:59> Bien, le problème de la technologie quantique, c'est qu'elle va déjà s'attaquer où elle s'attaque déjà au problème de cryptographie. Donc, on peut s'attendre à n'importe quel moment, enfin de façon hypothétique, à ce qu'il y ait des percées à ce niveau-là. Et s'il y a des percées déjà sur la cryptographie, vous avez un système, par exemple, Ethereum ou un autre, qui peut s'écrouler du jour au lendemain parce que le système de cryptage qui est derrière est cassé par des chercheurs et, en particulier, avec l'évolution des algorithmes au niveau quantique.

<01:37:36> Bien, la solution, c'est déjà de ne pas faire confiance forcément aujourd'hui aux algorithmes de hachage. Il y a sûrement des algorithmes de chiffrement ou de cryptage qui sont plus intéressants. Donc, ça demande à repenser aujourd'hui la cryptographie d'une façon générale au niveau de la Blockchain. Et l'autre partie, c'est ce que j'évoquais, c'est de mettre les datas et les empreintes… les séparer complètement. Aujourd'hui, je pense que la bonne nouvelle, c'est qu'on n'a pas besoin de mettre ses datas dans des infrastructures qui vont les stocker et qui sont possiblement à l'extérieur ou qui sont délocalisées.

<01:38:21> Donc, je pense que ça, on va venir vers… On met les datas dans notre coffre-fort et ce sont simplement les empreintes qui vont partir sur les réseaux Blockchain. Ça, c'est une évolution probablement importante.

Il faut comprendre les aspects micro-économiques. Il faut comprendre les aspects technologiques. Je veux prendre une minute pour remercier nos conférenciers, parce qu'il faut avoir cette vue d'ensemble pour vraiment comprendre la révolution qui est en train de se passer.

Instead of me giving a presentation on smart contracts and then Laura talking about tax and then Usman talking about litigation, I'm just looking at, you know, the two of them, we're just going to take a bit of a different approach. We're not going to go with the slides and we're going to try to have just maybe, you know, three minutes for each people on what is really, you know, the most important thing to think about. Then what we'd like to do is just open it up to questions. If you don't have questions, don't worry we have lots of slides to continue. Alors, I will actually start instead of going on smart contracts, I would actually like to start with Laura. Because I believe that tax is something that people don't necessarily think about enough when thinking about Blockchain, and it's important to have that point of view too. Thank you, Laura.

<01:40:42> Thank you, Naïm. Can you hear me? Not very well. In the back, yeah? I think the music at the beginning was for me, and also the do not panic there is no emergency. It is important, though, to realize, and that's really the message I want you to take home her today, that even though Blockchain is innovative, even though we're joking about Columbian cartels and all of it being anonymous and so on, tax does apply to Blockchain transactions. The tax authorities, even though they're Byzantine and somebody at finance yesterday was at the Canadian Tax Foundation in Toronto giving a presentation and then they were saying, well, Blockchain it's all been figured out, the taxation is easy. It has not all been figured out. They're really going to have a hard time grasping a lot of these concepts. They do and will take the position that the transactions are taxable, and so if you are doing and working with this technology and especially at the crypto currency level, transacting in crypto currency, you have to keep this in mind.

<01:41:51> It's particularly important as you do come up with your business models, because if you do not consider the tax impacts of what you're doing, you're going to have a very unhappy surprise when you get an assessment taking a position that could be quite contrary to what you thought you were doing, which is no tax. Then you'll have to defend that, and it's really hard to backpedal at that time. The other thing that's important too, is if you're acting as a director for a company that's dealing with this kind of - in crypto currency, and you're paying your employees or you're transacting, you may be personally liable for unremitted sales taxes or payroll taxes. That's something that you may not think about. Every time you deal with this, please keep in mind that there is going to be an income tax. If you're a trader in crypto currency, if you're a minor in crypto in that market, the coin that you're getting is going to be treated as income by the tax authorities. This is something that they've written on.

<01:43:02> When you're selling the coin, depending on how you held it, in what kind of industry and then a lot of factors, a lot of facts, you may either have a capital gain, so half of it's taxed or you may have an income inclusion. I know these folks here will ask me the question, you know, how does that work in ICOs? There's a lot of questions. What's the treatment of the funds raised through an ICO? Because the tax authority's position has been that a crypto currency is not a currency, it's not a security, it's a commodity. It's like holding gold or holding this table. When you sell it, you are selling a good and not a financial instrument. A sale of that is subject to sales tax and is a sale of a product. Therefore, if you bought it for X dollars and now you're selling it for $20 - or $20 - I'm going to use Canadian value dollars - $20 more in Canadian dollars, well, now you just generated a gain or an income of that. And if you raise money with it, if you don't structure correctly, there's a possibility that you're raising the funds on an ICO could be a straight up income inclusion to you. Plus, maybe there's a sales tax hit as well because you should have been collecting sales tax on the sale of these tokens.

<01:44:25> It makes no sense to somebody who understands the technology, but you have to think that they're trying to take a very square tax system and fit it into this new world. In general, the tax authorities have a very hard time with the digital world in general. OACD has been working desperately to come up with something, and they can't. You can imagine they'll have a hard time understanding this. It's better that you think about tax at the beginning and you come up with a much more logical and thoughtful, and a system and even in your documentation, that supports your logic to present to the authorities than let them come up with something that you do not agree with and then try to deal with that.

<01:45:09> We talked about crypto currency a lot, but tax will play out in every application of Blockchain. If you are now doing all your accounting in a Blockchain scenario, imagine when the CRA comes and says we want access to that. Now they have access to absolutely everything you've ever done. Everything that CRA has, CRA will share with all the other jurisdictions in the world that are part of the OACD <inaudible - 01:45:39> project. That's pretty much everybody. It's great, but easy access in one place which cannot be amended does - means I can't go, oh, I'll only send you five of the 200,000 invoices, because you know it's so hard to dig them all out. They'll say well, no, it's right there. What's so hard?

<01:45:57> Same thing for contracts. There's a lot of issues about where you're selling and whether there's a source of income in those countries. With smart contracts that's going to make it even more interesting as an argument. Eventually, they will figure it out and apply tax there. All that to say Wild West for an exciting time for tax lawyers. Somebody had said at the beginning the government is going to get involved and they're going to mess it up. I think in this kind of scenario you'd rather have the certainty of them thinking about this properly and coming up with a logical system than the piecemeal approach that we're getting right now.

<01:46:35> It's important to keep in mind and get people involved at the beginning who can help you work through that process.

NAÏM ANTAKI

<01:46:43> Thank you very much, Laura. Usman, if you have a few words on litigation and regulatory aspects relating to Blockchain.

USMAN SHEIKH

<01:46:52> Yeah, sure. Sorry, just following on Laura's comments. A lot of people thought that tax didn't apply. A lot of people thought that laws didn't apply to this world. Speaking as a litigator now, we're starting to see those cases where regulators have been active in this space to make it very clear that many of these areas are entirely regulated and thoroughly regulated, including with respect to capital raising such as initial coin offerings. The point to take away, if there's one point to take away from my comments, is that the winter is coming. In the sense that for many years we didn't really see too much litigation involving Blockchain, and now we've started to see the regulators assert their muscles and flex their muscles.

<01:47:46> We initially saw that in the criminal law context. Many of you may have heard of the Silk Road case. There was a Silk Road trilogy involving a dark web operation where you could buy murder for hire, you could buy bazookas, you could buy narcotics, etc., etc. The underlying payment system was the Bitcoin payment system. It really tried to take advantage of the features of Bitcoin, which was this pseudo-anonymous characteristic that it has. The ability to allow payments across the world, frankly, within less than ten minutes, etc., etc. Now the criminal authorities have certainly asserted themselves, the FBI, the Attorney General's Office, etc., etc., including here in Canada. We've seen quite a lot of litigation now in the criminal context. The same is true now with capital markets regulators as well. We've been seeing cases.

<01:48:40> There's still a question out there as to whether crypto currencies in and of themselves are securities. For example, Bitcoin. That question was put to, in fact, the former chairman of the Securities and Exchange Commission, Mary Jo White, as to whether Bitcoin was a security. She sort of dodged the question in Congress and said that, well, whether Bitcoin in and of itself is a security, we'll bracket that for a moment, it sort of depends on the facts and circumstances, she says. But if you're issuing securities and the securities are based on, let's say, a portfolio of crypto currencies or crypto assets, that would certainly engage our mandate. There's many areas that we've been seeing the regulators act, whether it's with respect to crypto currency exchanges, whether it's with respect to frauds where Bitcoins are involved. We've been seeing a whole host of activity from the Securities and Exchange Commission in the United States, the other major national capital markets regulator, which is the CFDC or the Commodity Futures Trading Commission. We've also been seeing activity now here in Quebec, and throughout Canada, with our securities regulators too.

<01:49:58> One area that they've been focusing on of late has been with respect to initial coin offerings. Someone in the audience mentioned the DOW case. That was a case where the SEC looked into it, investigated it, and determined that the DOW token was a security, that they could've prosecuted the matter and elected to not prosecute the matter. That being said, they released a very comprehensive report which many of us - I'm a former prosecutor myself at the Ontario Securities Commission - see as a clear shot across the bow to the Blockchain community, and particularly the ICO community, saying the SEC sees what's happening and let's just be clear, securities laws can apply. We've now seen them do the same thing in a case called REcoin in the United States. We've seen the AMF take very strong action against a group called PlexCoin here in Quebec. We've now seen action by Competition Bureau authorities, or the FTC in the US. We're seeing a whole host of activity, because many people operated under the assumption that laws do not apply.

<01:51:08> Civil litigation, you may have heard of the Tezos matter. There's now a massive class action from one of the most prominent ICOs, which raised over $230 million, which is now valued, because they took in Bitcoin and ether and it's now accumulated in value, that amount that they took in is now about half a billion dollars. There's quite a large class action that has been commenced with respect to certain alleged misrepresentations by those behind Tezos to those who ultimately purchased the tokens, etc., etc.

<01:51:44> All to say that the area is - I don't want to leave this on a bit of a damper - but the area is fraught with legal risk. It is good to consult our excellent counsel here in Montreal for advice should you step into the territory. Let me pass it back to Naïm then.

NAÏM ANTAKI

<01:52:03> Thank you very much, Usman. The reason why I wanted to end is not because I think what I have to say is the most interesting, but because I wanted to end on a positive note. I'm a commercial lawyer. I'm called in Quebec and in Ontario in civil and common law. I think just with this, with Blockchain, just like with anything that's been new in your business lifetime, it's an opportunity to take. Maybe to go back to what you were saying, the winter may be coming, but it doesn't mean that you can't put on a warm coat, right? You just need to think about, you know, check the weather, see what's happening, keep in - you know, and if you do that, then I think that you won't miss out on the wonderful opportunities that Blockchain has, as Anthony had mentioned and Laurent aptly mentioned.

<01:52:57> Smart contracts, how does that fit into the fold? You have Blockchain, which is the underlying technology. We talked about crypto currency being one application of it. People typically think about smart contract being another application that typically sits on the Blockchain. One that's much more interesting, as we heard from Laurent and from Anthony. There's still, and especially for the people who are lawyers in the room, when you hear a smart contract you think, okay, well, it's a contract and how is it smart? Then when you hear what Anthony was saying, he's saying, well, it's self-executing code. Well, how is that a contract? The issue is that, again, as we were saying at the very beginning of this conference, you have people looking at this from a technological standpoint. You have people looking at this from an economic standpoint, and from a legal standpoint.

<01:53:55> The best way to think about it is actually to make it into two subcategories. A smart contract could be self-executing code in the tech sense, right. If you go to the Ethereum homestead definition of what a smart contract is, anyone who is lawyer is going to freak out because it only talks about functions and sate and data, but it never talks about the meeting of the minds, the exchange of consents that you typically need in a legal contract. Do we have just two different types of people talking about two different types of things? The answer is no. There is possibility to have an overlap, and that's something that's important to think about. Meeting of the minds, you don't really have a lot of formality with respect to a contract, with respect to a legal contract in typical cases.

<01:54:51> Why not have something that does meet the legal requirements of a contract simply be as code? It may sound odd to, you know, I'm going to say lawyers, because I like to harp on ourselves, but frankly, if you do business in another country and you write a contract in Arabic and you don't understand Arabic, are you going to stop from doing business there? Probably not, you just have to adapt to the situation. This is where if you need to think in your visual like me, you can think of a smart contract; you have the part that's code, you have the part that's legal contract, and then you can think of it as being more than one thing or having more than one form. It actually fits on a spectrum. You can have, as we talked about, a legal contact that's written entirely and only in code, if it meets the legal requirements of it. You could have, again, let's say you have your contact written in Arabic but your Arabic is not top shape right now, you prefer to have your contract also in French or in English, well, apply the same thing.

<01:56:00> You can have your paper contract, right, and you can have the equivalent that's code. All of this to say that just like you have more than one type of Blockchain - like Laurent explained very well and also thank you, Jean-Francois, for doing the same - you have more than one type of smart contract. Don't be fooled by the word. Don't be fooled by people telling you a smart contract is neither smart, nor is it a contract. It can be, but you just need to really understand what it means.

<01:56:36> The last thing I'm going to say about this part is that, as I said at the start, a smart contract sits on top of the Blockchain. We heard about very different types of Blockchains that apply. The great thing about it is that you still need to understand the philosophy of that Blockchain. Is it a situation where you don't want to have, you know, you have a permission-less Blockchain, so without going into the jargon, where Nakamoto back in 2008 said, "I don't trust the banks anymore. I want to find a way to transfer money without resorting to a third party, without resorting to a bank, without resorting to a government. This is why I'm building this technological ecosystem, right, with economic incentives, without having to resort to a third party." You have to ask those questions, because that will have an impact on how that smart contract is going to work in real life. We heard about some news cases also about how smart contracts are used right now. If someone comes to you and says, well, I have this smart contact for you, you have a few questions to ask now.

<01:57:50> I would say that you can start, and one of the ways where you can start is you can start with something that is easily codable. It's not everything that's easy to code. I'll use a typical example that we use in contracts. I'm going to do something on a best efforts basis. I will in good faith attempt to do something. I will not make any material breach of this agreement. How do you code that? From the lawyer's perspective, very tough. Maybe the tech people in this room will say, yeah, it's a bit tough, but we can find a way. All of this to say that if you're going to start, it's better to start with something that is easy to perform, something that's objectively verifiable. You may not want to make your whole legal contract into a code, but you may want to automate certain performance. If you have a condition in your commercial contract or in your MNA, you know, your AP or your SPA, so your acquisition agreement, and you have to fulfil certain conditions for money to be transferred. Is there an opportunity there to reduce transaction costs? Is there an opportunity there to say, you know, I'm going to have less deal uncertainty?

<01:59:11> There are things to be done here, and I think it's important to keep it in mind. There is rapid evolution in this space. It's something that people are looking at very closely. You should too. Asking the right questions with the right people around you. I have to say, I love the fact that Anthony didn't take this from a tech standpoint, but he took this from an economic standpoint. I did economics myself before doing law. At the end of the day, what are you trying to do? It's a cost-benefit analysis. Why am I going to use Blockchain as opposed to using another technology? Is it going to be another legacy system, soon to be legacy system, or will it interoperate with what I have to do? There are a lot of questions that you can ask yourself on the good sides, and also on things that you need to still think about and that may still require the plain old written legal contract to supplement what may be best about a smart contract, which is performance automation.

Et du fait qu'en cours de route, même une cryptomonnaie peut changer de nature peut-être, commencer par être une valeur mobilière pour la première phase de son implantation lorsqu'on utilise l'argent pour créer l'écosystème. Et ensuite, devenir une commodity. Donc, ça, ce sont des dialogues qui existent dans la communauté juridique en ce moment, à travers le monde. On suit ça. Nous, on fait une veille très, très attentive là-dessus.

<02:01:21> In fact, there was a recent CFTC commissioner who put forward the theory - which in fact our securities regulators here in Canada are grappling with - as to whether a token that takes on the initial life of a security because of the Howey Test or our comparable test which is pacific coast, can almost shed its features once a platform is created and take on the features of just a utility token. The reason why that's important, is because at the point that it becomes a utility token, that would then affect resale in the sense that right now the resale of the tokens that have been deemed to be a security, whether it's Impak or whether it's TokenFunder etc., have been very controlled on the resale. This is a theory that many regulators are thinking of right now, is whether it could just take on or basically shed its features as a security, become simply a utility token, and then can be sold freely as though it were not a security afterwards. Which is sort of an interesting concept.

<02:03:31> Sorry. From a tax point of view, I think it's very important to not necessarily associate the fact that it's being treated as a security for security regulation purposes with the same treatment from an income tax point of view. I think there is a big risk and a lot of uncertainty, and I say that with caveat. It doesn't mean we may not get there on a specific situation. Generally, there is - the idea is that what you're doing is probably more like an advance payment or a deposit on the eventual issuance of a commodity. At that level, you may have some assessment positions from the tax authorities that say this looks more like an income generation at this point.

<02:04:23> Or maybe you can take a provision and say, well, no, I just received the funds, but I'm really delivering the token later on, so I should only be taxed on it at that time.

It's difficult to say, and there may be a lot of differences between how you structure it. But do not take the assumption that because it's a security for how you have to disclose and deal with that, that the CRA will say, oh, yeah, okay, that's a security now for sure, because that's not where they are in their thinking.

<02:04:57> If you are in a commercial activity and over the $30,000 threshold, technically yes, it is a sale of a commodity. The consideration you're getting is whatever you're - the value of what you're getting in exchange, from a sales tax point of view. I mean, there's lots of things in tax. One thing that they've said and you may not think of, if you hold securities - sorry, crypto currency that's valued at more than $100,000 abroad, you have to - and you're not in the business of doing that, let's say you are making a lot of money on this and that's the cost of your crypto currency abroad, you have to disclose that on an annual basis. If you fail to do that, it's a $2,500 penalty each year. There's lots of things like that that tax comes on top and makes you have to be careful. Yes.

One day one Bitcoin can be worth $10,000 and that's what you're reporting on your balance sheet converted in Canadian, but tomorrow maybe it's $15,000, back down to $5,000 if a bubble does occur. How do you guys foresee them protecting themselves?

USMAN SHEIKH

<02:06:19> Well, a lot of companies right now have been using services like BitPay. They well say they are accepting crypto currency, but will immediately upon acceptance convert it into fiat. They're not accepting the volatility. Some securities regulators where reporting issuers have accepted crypto currencies have taken issue with those. There's a case where the Texas State Securities Board moved to cease trade a company because they were accepting Bitcoin and their disclosure was not appropriate, because they had not disclosed all material risks. Specifically, the volatility from the Bitcoin could lead to operational risk. This is all a developing area, and I'm not sure if anyone has the right answer to your question.

La première, c'est… Je me fais un petit peu le porte-parole des puristes, quand j'investis dans un ICO, les gens aiment bien être en contrôle de leur clé privée. On parle d'être sa propre banque. Ça implique de contrôler son portefeuille. Et l'autre chose que les gens recherchent au-delà d'un bon projet, c'est souvent avoir accès à un marché secondaire. En ce moment, les deux ICO qui ont été faits au Canada, le premier Impak Coin, on ne contrôle pas les clés privées. Donc, on est prisonnier de l'écosystème. L'autre, je crois que c'est en Ontario, en octobre, TokenFunder, si je ne me trompe pas, l'OSI a mis comme un break d'un an au niveau du marché secondaire. Je me demandais, est-ce qu'en ce moment, au Canada, quelqu'un qui veut faire un ICO, on peut dire, oui tu peux lever de l'argent, mais tes investisseurs ne pourront pas aller sur l'exchange, ils ne pourront pas avoir un marché secondaire ensuite de ça, pour le token. Je me demandais si vous saviez un petit peu où on s'en allait avec ça au Canada.

<02:08:37> Je peux peut-être répondre en partie à cette question et pas directement. La notion de lever des fonds en ICO a énormément de composantes. Donc, ça dépend du projet Et ses composantes dépendent de : est-ce que le projet existe, est-ce que c'est vraiment des securities, est-ce qu'on est en train de faire du crowdfund comme on faisait du kick-starter à une période, etc.? Donc, on a vraiment… il n'y a pas de réponse, de blanket answers pour ça. Il y a vraiment… Il faut s'entourer correctement pour analyser la structure et faire participer. On parle souvent au Québec de l'AMF, mais, Laurent le mentionne régulièrement, il y a les autres considérations - sales tax, federal, provincial - qu'il faut considérer. Et la pire des situations, c'est quand tous ceux-là ne sont pas d'accord. Parce que souvent on dit : il faut que l'un dise quelque chose. Mais il est possible que les quatre disent des choses différentes.

Voilà deux semaines, dans les médias, on parlait beaucoup des investisseurs chinois ou autres qui voulaient venir s'installer au Québec pour faire du mining étant donné que les coûts de l'électricité sont bas. Avec l'incertitude au niveau des taxes de vente, est-ce que vous êtes au courant de positions que les autorités fiscales ont prises ou autres parce que, étant donné que ma crypto, ce n'est pas un effet financier, est-ce qu'ils pourraient venir dire : si tu l'as miné, quand tu la vends, il faut que tu charges la taxe de vente? Ce qui, dans l'écosystème, ne fait pas vraiment de sens. Pourquoi est-ce que je paierai 15 % de plus un Bitcoin quand j'ai accès à un prix détaxé via tous les exchanges centralisés ou décentralisés? Puis si j'oblige les compagnies, si je leur envoie un assessment, finalement, je viens de casser toute leur marge de profit. Je me demandais si ça avait été discuté avec les autorités fiscales.

<02:10:35> I'll give you two answers to that. The question of sales tax applying to a trading in or sale of Bitcoin, theoretically, yes, based on what they've said, it would apply. Theoretically, the tax is borne by the buyer. If they are also in the system and everybody is registered like they should be, then they would be able to recover that tax. It's only an end consumer, me buying Bitcoin to go buy music online or whatever else I can do with it that would bear the 15 percent tax. I will tell you they have not addressed that as largely as that. They've said, yes, if you're trading in it you should - or if you're accepting it, you should collect tax on it as if it has a value and it's really a barter transaction. I'm giving you my music and you're giving me your Bitcoin, it's two goods.

<02:11:25> I will tell you something though, Revenue Quebec has been poking the bear, which is the Federal Finance Minister, trying to get them to agree to having a consolidated approach to taxation of e-business in general. They've sent letters and they have issued a 240-page paper about tax in general, but it also has a part in there where they're saying if you are selling into Quebec any good, service, intangible of any kind without having a significant presence in Quebec, we are going to look to you - cough, cough, Netflix, there name is there - to collect sales tax. Well, that doesn't mean that's only Netflix though, and it's not a Netflix tax only. That's an indication that they may be taking an aggressive stance on this. At least Quebec. Federal hasn't answered this.
