Bio

Michelle is an Associate in the Commercial, IT and Outsourcing team. Michelle advises clients on a wide range of general commercial, procurement, IT and data protection matters. This includes reviewing business-as-usual contracts, negotiating complex strategic arrangements, and everything in between. She also has substantial in-house experience from secondments in both the private and the public sector.

Experience

A seven-month secondment to the commercial legal team within the Government Legal Department supporting the Department for Education. Advising on a large volume of public contract, grant and regulatory compliance issues.
Advising the Department for Education on the award of a contract providing £57 million of funding under its Opening School Facilities programme, including drafting and negotiation.
Carrying out a large-scale data protection impact assessment of a law enforcement body's new case management system. This included advising on data protection risks and compliance throughout the development and configuration of the software.
Developing a suite of procurement contracts, standardised templates and associated guidance for a public body, based on Government standard contracts but adapted to sector and departmental needs and priorities.
Supporting BEIS in the preparation of the contractual arrangement underpinning its investment in the LEAF Coalition. This included drafting and negotiating a £171 million contribution agreement to help finance a complex carbon credit arrangement.
Advising a global engine manufacturer on a number of national and international supply chain and procurement agreements, including manufacturing and logistics.
Advising a student accommodation provider on a SaaS subscription agreement as part of its transition to a new property management solution.
Reviewing and drafting a wide range of day-to-day contracts such as terms and conditions for online business-to-business professional services, consumer law-compliant online terms and conditions of sale, data sharing and reselling agreements, SaaS free trial agreements, consultancy agreements, etc.
Secondments to Ford Motor Company Limited and Transport for London for nearly two years and six months, respectively.
