Kate Seabourne-Pugh

Bio

Kate is a legal director based in London working in the corporate group and a member of the investment funds team. Kate specialises in equity capital markets and corporate finance transactions advising on investment funds, IPOs and secondary issues (Main Market, Specialist Fund Segment and AIM) as well as having experience in domestic and cross border mergers and acquisitions. In particular, Kate specialises in advising closed-ended listed funds, their managers and brokers on matters such as equity securities issues, debt issues, fund agreements and regulatory obligations.

In 2018, Kate spent seven months on secondment to the Investment Trusts Division of Winterflood Securities Limited.

Kate has been recognised as a 'rising star' for Listed Funds in the Legal 500 and been named "one to watch" in the 2023 edition of "Best Lawyers® in the United Kingdom".

Acting for Onward Opportunities Limited on its initial public offering and admission to trading on AIM and associated fundraising of £12.75 million;
Advising Life Science REIT plc on its move from AIM to the premium segment of the main market;
Acting for Winterflood Securities Limited on a secondary fundraise for Impact Healthcare REIT plc by way of an initial placing, open offer, intermediaries offer and offer for subscription and 12-month placing programme, raising c.£40 million;
Acting for Jefferies International Limited on an accelerated bookbuild for a real estate investment trust, Residential Secure Income PLC, raising gross proceeds of c.£15 million;
Acting for long-standing client GCP Student Living plc, a REIT specialising in student accommodation, on a series of public fundraisings including various 12-month placing programmes;
Acting for Peel Hunt LLP, Jefferies International Limited and Ellora Partners Limited (formerly Alvarium Securities Limited) on the main market admission of LXI REIT plc (premium listing segment) pursuant to a placing, offer for subscription and intermediaries offer and placing programme in addition to subsequent share issuances raising c.£500 million in aggregate;
Advising Downing Renewables & Infrastructure Trust plc on its initial public offering in December 2020 raising gross proceeds of c.£122 million and subsequent fundraises by way of an accelerated bookbuild in October 2021 and further fundraise by way of an initial placing, open offer, intermediaries offer and offer for subscription of c.£52 million June 2022; and
Advising Octopus Renewables Infrastructure Trust plc on its initial public offering in December 2019 and associated fundraising of £350 million and subsequent secondary fundraise in June 2021 by way of an initial placing, open offer, intermediaries offer and offer for subscription and an accelerated bookbuild in December 2021 raising c.£220 million in aggregate.
