Beena Patel

Beena is a corporate associate based in Gowling WLG's Dubai office. Beena has a wide range of experience in both corporate and commercial matters in the technology-media-telecomms, exhibitions, food and beverage, infrastructure and travel industry. Since joining the firm, she has worked on UAE-related and cross-border M&A transactions, joint-ventures, corporate structuring and reorganisations, corporate governance matters and drafting a range of corporate and commercial agreements, such as shareholder agreements, joint venture ageements and business-as-usual commercial contracts.

Beena has significant commercial experience in the TMT sector, having worked for a FTSE 250 global information and digital services company prior to joining the firm. She also provides support on commercial-IP matters and has experience in advising businesses on privacy-law matters and conducting GDPR compliance audits.

Beena has recently joined the firm's Africa desk.

Experience

Beena's experience includes:

  • Advising foreign investors on corporate structuring and expansion into the Middle East;
  • Advising on acquisitions and disposals in the food and beverage, engery, exhibitions, infrastructure, travel and technology sectors;
  • Assiting global businesses on coroprate governance matters;
  • Advising a foreign investor on the acquisition of a 50% interst in a UAE-based start-up;
  • Advising on a USD 1million fundraise for a global digital services business operating in the defence sector;
  • Drafting a joint venture agreement for a global technology brand for their UAE business operations;
  • Providing business-as-usual support for an AI and Cloud computing business based in the UAE and a global eComerce business;
  • Carrying out a GDPR compliance audit for a UAE based Education-techology company;
  • Drafting IP licenses, such as brand licence agreements which form part of business disposals, and intra-company trademark licences;
  • Drafting and negotiating franchise agreements, digital marketing agreements, privacy polices and website terms of use; and
  • Drafting business-as-usual commercial agreements such as speaker agreements, sales agent agreements, barter agreements, non-disclosure agreements, marketing agreements and promotion/competition terms and conditions.
