Our Corporate practice has led a cross-firm team advising Perwyn, the European private equity investor, on its acquisition of VIXIO Regulatory Intelligence (VIXIO) from Kester Capital.

Headquartered in London, United Kingdom, VIXIO is the leading provider of regulatory and business intelligence to the global payments and gambling industries. Through its PaymentsCompliance and GamblingCompliance subscription products, VIXIO enables regulatory and legal teams around the world to manage risk confidently and discover new market opportunities. With a second office in Washington DC, VIXIO serves over 400 customers globally, including operators, regulators, technology providers, and law firms.

Perwyn plans to invest behind the VIXIO management team to expand the depth of the intelligence platforms within these fast-moving markets, increase geographic penetration, widen the product set and move into adjacent markets.

Partner Chris Towle led on the advice provided, alongside principal associate Chris Letters and supported by associates Rory Chatterton and Jessica Waldron, and trainee solicitor Andreea Serban (Corporate). Principal associate Tom Rank and senior associate Helen Hibbert (Tax) also supported together with partner Samantha Holland and associate Eleanor Wright (Insurance) and partner Martin Chitty and senior associate Kiran Gosal (Employment). A wider team of specialists from across the firm worked on the legal due diligence exercise.

The Perwyn deal team consisted of Gurinder Sunner, Mark Deed, and Angus Duthie-Jackson.

Commenting on the team's role, Chris Towle said:

"It has been a genuine pleasure to work with Perwyn on their latest acquisition – VIXO has a great management team, and we look forward to seeing their ambitious growth plans come to fruition with Perwyn's support."

Gurinder Sunner, Partner at Perwyn added:

"It was brilliant to have Chris and Chris alongside us on this transaction – their expertise, pragmatism and dedication was invaluable as was the strength in depth of the wider Gowling team. This meant we could successfully close the transaction in short order with a minimum of fuss, and place a greater focus on planning next steps with the VIXIO team."
