Acquisitions and Dispositions:

• Over 400 builder sales completed in 2019.
• Counsel to developer in respect of the sale of lots in commercial subdivisions, including the registration of restrictive covenants and options to purchase.
• Counsel to vendor in respect of the sale of a 50% beneficial interest in a tenanted office building.
• Counsel to purchaser in respect of the acquisition of a tenanted office building.
• Counsel to vendor in respect of the sale of a tenanted residential apartment building.
• Counsel to investment group in respect of the acquisition of a 33% beneficial interest in an apartment development.
• Counsel to investment group and private investor in respect of the acquisition of an aggregate 50% beneficial interest in a mixed-use development (apartment/retail).
• Counsel to developer in respect of a 165 acre land assembly.

Development:

• Counsel to developer in respect of the land assembly, development, declaration, and financing of a high-end condominium project, including sales and interim/final closings.
• Counsel to developer in respect of the acquisition, development and financing of a mixed-use project including an apartment building and a mixed-use condominium building with retail on the ground floor, and the various matters involved with project of that nature including shared facilities agreements, encroachment agreements, and crane swing and tie-back agreements.
• Counsel to developers in respect of the acquisition, financing, development and registration of  plans of subdivision, including the sale of vacant lots and the sale of developed lots to new home purchasers.  
• Engaged by municipalities in respect of transactions involving the sale and development of vacant land with restrictive covenants and options to purchase.
• Counsel to private developer and crown corporation in respect of the joint acquisition of property from a municipality.
• Real estate counsel to court-appointed receiver in respect of the conversion of a single purpose building to a mixed-use building including a condominium and a long-term care facility.
• Counsel to property owners and developers in respect of the severance of properties for development and sale purposes, including Committee of Adjustment applications for consent to sever, encroachment agreements etc.

Financings:

• Counsel to Crown agency in respect of an aggregate of $96M land acquisition, construction and term loan facilities for sports and recreational facilities in Vaughan and Toronto, including inter-creditor agreements, municipal guarantees and s.118 restrictive covenant.
• Counsel to borrowers in respect of $52M financing of apartment building.
• Counsel to major financial institutions in respect of:
  • $90M servicing and construction loan facilities for residential subdivisions.
  • $30M land acquisition and servicing loan facilities for a residential subdivision.
  • $33M servicing and construction loan facilities for residential subdivisions.
  • $7M construction loan facility for a residential development.
  • $20M construction loan facility for a retail plaza.
  • $15M operating line of credit facility.
