Lenders negotiate existing debt and issuance of new long term debt for DH Corporation in connection with its acquisition of Fundtech

On May 8, 2015, in connection with its acquisition of Fundtech Investments II, DH Corporation signed amended and restated note purchase and private shelf agreements with three life insurers and a debt fund for an aggregate of US$320 million and C$100 million of existing debt.

DH also agreed to the issuance of a further US$80 million of long term debt with two of the life insurance companies to refinance certain acquisition bridge financing provided by DH’s bank syndicate.

We advised the life insurers and the debt fund in the negotiation of these agreements with a team that included Harold Chataway, Richard Dusome, Christine Marchetti and Leila Burden Nixon.
