A cross firm team has advised African technology metals mining company Andrada Mining Limited, on its US$25 million funding package with Orion Resource Partners to develop its Uis mine in Namibia. We also advised the company in July on its additional £7.7 million fundraise through the issue of convertible loan notes to new and existing investors.
The Orion package comprised US$2.5 million in equity (at 6.39p), a US$10 million convertible loan note with warrants, and a US$12.5 million unsecured royalty. The transaction is conditional on shareholder approval at the company's upcoming Annual General Meeting and funding is expected to be completed around the end of September 2023.
The Gowling WLG team which advised on the funding was led by head of Capital Markets and Natural Resources, Charles Bond, supported by legal director Sue Johnston (Corporate), partner Nath Curtis (Project Finance), principal associate Kate Shannon, senior associate Sam Evans and associate Jack Mitchell (Banking and Finance).
