Ana Lelliott

Ana conducts a wide range of corporate and commercial disputes. She has experience of acting for public sector bodies, insolvency practitioners, large and SME corporations and individuals. Ana strives to give commercial advice whilst guiding clients towards the most cost-effective and pragmatic outcome.

Experience

  • Corporate dispute: Advised a Company in respect of its breach of contract, fiduciary/statutory duties and breach of trust claim against its former Financial Director who had misappropriated funds and made unauthorised loans.
  • Shareholder disputes: Advised directors/shareholders in respect of unfair prejudice claims and/or other potential avenues of redress available to them including winding up on just and equitable grounds. Alco acted for a Claimant in respect of a dispute concerning "Good/Bad Leaver" provisions in Articles of Association and the forced sale of shares in respect of shareholding in a company worth over £20 million. Successfully settled both claims.
  • IT disputes: Advised a Company in respect of breach of contract claim and successfully settled the matter at a mediation enabling the client to focus on developing its software product unencumbered.
  • Deceit and Constructive Trust claim – large litigation: Advised Claimant in respect of its deceit and constructive trust claim against a corporate entity in liquidation and its two former directors, following an investment of £2.2 million into eco-friendly products. Successfully obtained an interim worldwide freezing injunction and a Banker's Trust Order on behalf of the client.
  • Judicial Review Proceedings: Advised a domiciliary care provider following the unlawful termination of its four-year Framework Agreement with a Local Authority worth £5 million. Ana worked with leading Counsel and advised the client throughout the matter which raised interesting arguments about the overlap between private and public law spheres. Negotiated a successful settlement for the client which included reinstatement of the Framework Agreement.
  • Appealing Urgent CQC Notice: Ana advised a specialist 24-bed care home in respect of appealing an urgent Notice of Decision issued by the Care Quality Commission imposing conditions the effect of which threatened the care-home's financial viability. Submitted robust evidence to the First-tier Care Tribunal which resulted in the two most draconian conditions being lifted.
