Ashley Andaya

Ashley Andaya is an associate in the Business Law Department of Gowling WLG's Toronto office. Ashley's practice focuses on securities and corporate law, with an emphasis on corporate finance, capital markets, and mergers and acquisitions.

Ashley advises clients across a range of industries, such as cannabis, energy, and technology. She has assisted clients on a variety of transactions, including public and private securities offerings, going-public transactions, regulatory and stock exchange compliance, continuous disclosure, and corporate governance. She has also represented both purchasers and targets in public and private acquisitions.

Prior to joining Gowling WLG, Ashley worked as an associate at a mid-sized law firm in Toronto, where she assisted on a variety of corporate, securities, and commercial matters.

  • Acted for a TSXV-listed technology company in its IPO pursuant to its long form prospectus for gross proceeds of $69 million and listing on the TSXV
  • Acted for a TSX-listed cannabis company in its bought deal offering pursuant to its prospectus supplement to a short form base shelf prospectus for gross proceeds of $17.25 million.
  • Acted for a TSXV-listed capital pool company in its initial public offering for gross proceeds of $9 million pursuant to the new TSXV Policy 2.4 – Capital Pool Companies.
  • Acted for a TSXV-listed technology company in a brokered public offering pursuant to its prospectus supplement to a short form base shelf prospectus for gross proceeds of $14.49 million.
  • Acted for a TSX-listed cannabis company in establishing an at-the-market equity program for up to $30 million pursuant to the new "at-the-market" rules under National Instrument 44-102 – Shelf Distributions.
  • Acted for a TSXV-listed technology company in concurrent brokered and non-brokered private placements with over 125 purchasers for aggregate gross proceeds of $11 million.
