Carl Hinzmann

Carl is a partner at Gowling WLG in Toronto. He maintains a transactional and advisory practice that encompasses Canadian income tax, structuring and corporate law. His clients include private and public companies, investment fund managers, tax-exempts, institutional investors, financial institutions, non-residents and high-net-worth individuals/families. 

Carl strives to provide clients with practical solutions and actionable advice that balances commercial realities with legal and tax considerations.

His practice includes advising on the income tax and corporate law aspects of mergers and acquisitions, fund and investment structuring, corporate/group reorganizations and advisory services.

Carl has significant experience in the income tax and corporate law aspects of complex reorganizations and structuring of investments and divestments. This includes:

  • drafting complex partnership, shareholder and joint venture agreements
  • structuring of joint investments between tax-exempts, non-residents and taxable Canadians
  • familiarity with a broad range of foreign entities, and managing and coordinating with foreign counsel across numerous jurisdictions, having led reorganizations and structuring mandates that in aggregate span every continent (but Antarctica)
  • managing large reorganizations that involve dozens, or even 100s, of entities

Carl also has significant experience in matters related to non-resident investment in Canada, particularly Canadian real estate, including section 116 compliance and section 216 elections, and advising non-residents seeking to expand to Canada - whether organically or by acquisition.

Carl was born in Germany and remains fluent despite having immigrated to Canada at age seven. He completed his German Speech Diploma (Deutsches Sprachdiplom) Level I & II, issued by the German Standing Conference of the Ministers of Education and Cultural Affairs.
