Hannah Swindle

Hannah has broad experience in helping domestic and international clients effectively manage employee risks and working with them to resolve employment law issues quickly and efficiently. Hannah advises on the full range of employment work, from regularly negotiating contracts and settlement agreements to keeping clients updated on the latest employment developments through bespoke training.

Hannah provides clients with sensible and effective support and solutions for their day-to-day employee problems, focussing on achieving the best outcome for the client, in line with their priorities and aims. Hannah has a particular interest in non-contentious work and specialism in TUPE and insolvency. She gives pragmatic advice on the employment aspects of corporate, commercial and real estate transactions and restructurings, helping clients plan for and manage acquisitions and sales, whether that's advising on successful TUPE consultation with unionised and non-unionised workforces or drafting and negotiating appropriate contractual protections in sale or outsourcing agreements.

Hannah also has expertise in supporting clients to negotiate complex workforce change programmes following TUPE transfers and has defended clients in respect of a large-scale failure to inform and consult claim brought by the union. Hannah also supports national and international clients in relation to planning and implementing collective redundancy programmes, negotiation and drafting of employment contracts and severance agreements, defending tribunal claims and general day-to-day employment advice.


  • Advising on the impact of TUPE, drafting and negotiating TUPE provisions in a varied and extensive range of outsourcing situations including for Local Authorities, a multi national rail transport company, government departments, private companies and multi-party frameworks in competitive bid situations. As part of a multi jurisdictional provision of services arrangement by an IT training provider, she coordinated the sourcing of TUPE advice from a number of countries in Europe including Romania, Belgium, Netherlands, Slovakia, Czech Republic, Italy and France and provided the client with a focussed summary.
  • Advising on the implementation and management of overall employee risk in relation to companies in insolvency proceedings, including TUPE issues, redundancy procedures and negotiation of relevant contractual protections on behalf of the buyer of insolvent companies and also when acting for insolvency practitioners.
  • Advising on the employment aspects of a competitive dialogue procurement process and contract for the outsourcing, consolidation and delivery of training services for a Government ministry, moving from a number of suppliers to a single supplier model. Hannah provided overall employment support to the project team by providing a detailed review of TUPE protections in existing supplier contracts including the potential to flow through available protections to achieve beneficial tender pricing; reviewing and advising on issues raised by bidders in relation to consolidation of different outsourced services on a phased basis, attending bidder negotiation meetings to respond to questions on behalf of the client and providing drafting on the main contract and TUPE schedule.
  • Advising on the application of TUPE, employee risk and drafting and negotiating TUPE provisions on business acquisitions and sales in a large number of corporate transactions, together with consequential restructuring and redundancy processes.
  • Acting for a wide range of companies including a national construction company on general HR/ER matters, practical TUPE advice, post termination restrictions, senior exits, restructuring and defending ET claims.
  • Delivering training for clients on a wide range of topics including TUPE, Equality Act 2010, Agency Worker Regulations 2010 and employment law aspects of insolvency.
