John Reed

John Reed is a partner in the corporate group and a member of the investment funds team. His particular specialisation is in investment funds, including private onshore and offshore funds and listed investment companies on the Official List, the Specialist Fund Market and AIM.

John also advises clients on investment fund restructurings and takeovers, both recommended and hostile. In addition, he advises extensively on financial services regulation relating to the investment management industry, including in particular the Alternative Investment Fund Managers Directive and the PRIIPs regulations.

Alongside his investment funds practice, John advises clients generally on corporate finance matters including public company takeovers under the City Code, and IPOs and secondary fund raisings, acting both for corporates and investment banks or brokers.


John works for Main Market, Specialist Fund Market and AIM quoted companies, and the investment banks and brokers that advise them.


Advised Cove Energy on its £1.22 billion takeover by PTTEP Africa Investment Limited, a wholly-owned subsidiary of PTT Exploration and Production Public Company Limited, which is Thailand's largest oil and gas company by market capitalisation.

Acted on the admission of Chenavari Capital Solutions to the Specialist Fund Market of the London Stock Exchange, raising £123 million.

John advised Jefferies International and Dexion Capital as joint sponsors and bookrunners on the listing of Starwood European Real Estate Finance, raising £228.5 million.

He worked on the launch and secondary fundraisings for The Forest Company, a global timber fund with investment interests in Brazil and Colombia, raising in aggregate US$320 million.

He advised JMP Securities on its Reg D US placement of shares in Summit Corporation, a UK AIM quoted biotechnology company.

He acted for Cyrun Finance on its hostile takeover of SVM UK Active Fund, a UK investment trust.

He advised on a US$40 million convertible bond issue for a subsidiary of Dolphin Capital Investors, and the listing of the bonds on the Open Market of the Frankfurt Stock Exchange.

He advised Cantor Fitzgerald Europe and Shore Capital as joint bookrunners on the listing on the Official List of NextEnergy Solar Fund.

He worked on the listing of Advance Developing Markets Fund on the Official List and admission to the Main Market of the London Stock Exchange by way of a S.110 roll-over scheme.

He advised Terra Investments on its mandatory cash offer for Rugby Estates Investment Trust.

Acted on the Listing of Empiric Student Property Plc on the Premium Listing Segment of the Official List, together with secondary fund raisings for in excess of £600 million.

Acted on the migration of VinaCapital Vietnam Opportunity Fund Limited, a c.$500 million Listed Vietnamese investment fund, from AIM to the Premium Listing Segment and its simultaneous change of domicile from the Cayman Islands to Guernsey.

Acted for Gabelli Value Plus+ Trust Plc on its admission to the Premium Listing Segment and associated £100 million fundraising.
