Samantha Myers

Samantha is a partner in the corporate group, specialising in corporate finance, mergers and acquisitions and equity capital markets.

Samantha has extensive experience of acting for companies, or their advisers, on IPOs and secondary transactions. She regularly advises on a range of domestic and cross border M&A transactions, including public takeovers. Samantha has experience in a range of sectors including retail and consumer, gaming, life sciences, healthcare, cannabis and mining. Samantha leads the firm's UK Cannabis Group and is a member of the World Law Group's Cannabis Group.

Samantha's experience includes a secondment to the Corporate Finance team of N+1 Singer and a secondment to the legal team of Acision.

Samantha co-authored the AIM chapter in 'World Stock Exchanges – A Practical Guide'.

Experience

  • Advising Codemasters Group Holdings plc, the video game developer and publisher specialising in high quality racing games, on its admission to AIM and associated placing of £185 million, its secondary fundraising in connection with the acquisition of Seriously Mad Studios, and its £759 million takeover by Take-Two Interactive Software, Inc.
  • Advising Williams Grand Prix Holdings plc on the disposal of its F1 business to BCE Limited, a fund managed by Dorilton Capital Management LLC, valuing the business at €152 million.
  • Advising Bacanora Lithium plc, the London and Canadian listed resource developer focused on building an international lithium company, on its joint venture with SolarWorld AG in respect of the Zinnwald Lithium Project and the subsequent sale of the project to Erris Resources plc
  • Advising Cenkos Securities on the £30 million AIM IPO of MJ Hudson Group plc.
  • Advising Shore Capital Stockbrokers on the £10 million placing for SysGroup plc and its £9 million acquisition of Certus IT Limited.
  • Advising Phoenix Global Mining, the North American-focused base and precious metals exploration and development company, on its admission to AIM and associated £4.5m equity fundraising and subsequent fundraisings
  • Advising Cantor Fitzgerald on HaloSource, Inc's £2.8million equity fundraising and redomicile by reverse triangular reincorporation merger
  • Advising Fibre 7 UK Limited, the producer of modified timber, on the initial a£2 million and subsequent £2.1 million equity investments into it by funds managed by Woodford Investment Management
  • Advising Shore Capital Stockbrokers on Canadian Overseas Petroleum's £3.25 million equity fundraising
  • Advising Mercia Technologies PLC, a national investment group focused on the creation, funding and scaling of innovative technology businesses with high growth potential from the UK regions, on its £40m equity fundraising
  • Advising Mortice Limited, the AIM listed security and facilities management company, on its £2.3 million equity fundraising
  • Advising HT Media Limited on its £3 million equity investment into Koovs plc
  • Advising Hummingbird Resources plc, the West African gold company, on its $71 million equity fundraising
  • Advising Pacific Industrial & Logistics REIT plc, a property investment fund, on its admission to AIM and associated equity fundraising of £12.2 million and £27 million property portfolio acquisition, and subsequent fundraisings
