Siân Dewing

Siân is a London-based principal associate in the corporate M&A and Private Equity team. Siân advises predominantly private companies on a broad range of corporate matters, including both buy-side and sell-side mergers and acquisitions, joint ventures, group reorganisations, private equity and general corporate law matters. Siân also has experience of assisting clients with IPOs, both on AIM and the Main Market, as well as assisting listed companies with secondary fundraisings.

Siân enjoys getting to know her clients' businesses and works closely with clients to provide thorough and practical advice to help clients achieve their ambitions.

Experience

Energy and Natural Resources

  • Advising the shareholders of Codford Biogas Limited, which holds the rights and assets that make up the Codford anaerobic digestion plant, a food waste permitted plant in Wiltshire that processes 100,000 tonnes of food waste per annum and powers up to 4,000 homes, on the sale of the company to JLEN, the listed environmental infrastructure fund.
  • Advising existing shareholders on a joint venture arrangement involving a multinational leader in the supply of industrial gases in respect of the operation of a 6MW anaerobic digestion plant in England for the generation of renewable electricity and 3MWe of gas.
  • Acting for a UK Wind Farm developer on a group re-organisation involving overseas subsidiaries.
  • Acting for a private precious metals mining company on its private fundraisings from a well-known mine finance L.P. and other HNWs, implementing a shareholders agreement which included stapled share rights with its Peruvian subsidiary.

Healthcare

  • Acting for Montreux Healthcare Fund on its acquisition of Independence Homes Limited, the foremost epilepsy care provider in the UK, through its platform asset Active Assistance, a leading UK complex care specialist.
  • Advising an American provider of biopharmaceutical services on various group re-organisations and general UK corporate law matters.
  • Acting for a global supplier of medical devices and medical solutions on its international group reorganisation.
  • Advising Montreux Healthcare Fund, through the Huntercombe Group platform, on various acquisitions including the acquisition of a specialist residential care business for individuals with complex mental health needs with three sites in the North West of England and the acquisition of a single site former elderly care home in the West Midlands to be repurposed as a specialist care home.

Property

  • Acting for multiple shareholders in relation to the sale of a company owning a commercial property development site in Harlow.
  • Acting for a property development company on its joint venture with a registered social housing provider in respect of the development of approximately 600 dwellings, associated infrastructure and other buildings.

Financial Services

  • Acting for Equiom Group on a series of acquisitions as part of the implementation of its international expansion.
  • Acting for an international listed bank on the sale of its Guernsey and Jersey fiduciary services group.

Private Equity

  • Advising private equity firm Cairngorm Capital on its acquisition of Grant & Stone Limited, the leading independent builders' merchant in the Thames Valley, and subsequently advising Grant & Stone Limited on a number of bolt-on acquisitions, including the acquisition of a building materials supply company which provides building materials to both trade and retail customers from 12 branches across Somerset and the acquisition of an independent electrical wholesaler in the South West, operating from nine branches across Somerset and Devon.
  • Advising NVM Private Equity on its £14.8 million investment into The Salocin Group to fund its acquisition of customer data business Edit Agency, which delivers unified data solutions, acquisition, and retention campaigns for some of the world's most recognised brands.
  • Advising NVM Private Equity on its secondary buyout and £7 million investment into Chemigraphic, a leading provider of Electronic Manufacturing Services to the medical technology, defence and power systems sectors.
