Susan Johnston

Susan Johnston helps clients to steer through complicated procedures with clarity and an organised but relaxed approach.

Sue is a legal director in the corporate team and her practice focuses on public and private offerings of securities, mergers and acquisitions and advising on securities regulatory requirements in the UK, with an emphasis on mining, exploration and natural resource companies.

Sue is well respected and known within the business community for her knowledge and experience in acting for public companies, and in particular, project managing AIM flotations, co-ordinating multi-jurisdictional matters, and advising on IPOs and secondary fundraisings.

Sue was formerly a partner in a leading commercial law firm and assisted in building, from scratch, one of the best known resource teams in the UK.

Highlight

She was part of the team that advised Bullabulling Gold, a UK domiciled gold exploration company with assets in Australia, on its complex merger with Ausex, an ASX listed company. The transaction involved two schemes of arrangement – one in each jurisdiction, and a subsequent re-domicile for Bullabulling. Timing was key for this transaction with the schemes having to be timed carefully in conjunction with the subsequent dual listing on AIM and ASX.

Clients

Susan acts for companies across a variety of sectors from start-ups to quoted companies such as Sunrise Diamonds, Tertiary Minerals, Eurasia Mining and Ariana Resources. She also advises investment banks and corporate finance houses such as Optiva, Allenby, and Strand Hanson.

Experience

Advising public and private companies, whether domestic or international, on day-to-day corporate matters and M&A, including an AIM quoted junior exploration company on its merger by scheme of arrangement with an ASX listed company and its subsequent re-domicile.

Sue has also advised many other natural resource companies on their pre IPOs, IPOs, secondary fundraisings, acquisitions/disposals of assets, and joint venture arrangements.

In addition, Sue has acted as adviser to a nominated advisers/brokers on successful admissions to AIM and on secondary fundraisings.
