Corporate team advises MonsterCAM on strategic acquisition in Germany
Our Corporate team in Germany has advised MonsterCAM Ltd on its acquisition of the entire share capital of NedCam GmbH through a carve-out transaction from NCP Fund II Investment VI BV.
Following completion of the transaction, NedCam GmbH will be rebranded as MonsterCAM Composite Systems GmbH. The acquisition more than doubles the group's existing manufacturing capacity and expands its offering through the addition of high-precision metallic tooling capabilities.
The strategic move supports MonsterCAM's ambition to become Europe's leading CNC tooling and composite component manufacturing group serving the defence, maritime, automotive and aerospace sectors.
MonsterCAM has established a strong track record in the UK defence sector, supporting both manned and unmanned surface and sub-surface composite vessel programmes from prototype development through to full-scale production, and intends to leverage that expertise to support its continued growth across Europe.
Our team was led by Dr. Michael Lamsa, Partner and Co-Head M&A, Private Equity and Venture Capital in Germany, and supported by Counsel Micha Gersdorf and Associate Philipp Esmek (Corporate/M&A; Frankfurt) as well as Partner Dr. Annette Rickert, Senior Associate Andreas Hofmann (Tax; Frankfurt), Partner Carolin Glänzel, Associate Marie Thalheimer (Finance; Frankfurt), Partner Annette Knoth, Principal Associate Nadine Birke (Employment; Frankfurt), Partner Nicolas Deuerling, Senior Associate Susanne Schaad (Real Estate; Frankfurt) and Partner Miray Kavruk and Associate Alessandra Birkendorf (IP/IT; Frankfurt) alongside Dutch counsel Rutgers & Posch LLP.
Dr. Michael Lamsa said: "This transaction represents an important step in MonsterCAM's international growth strategy and demonstrates the opportunities available through cross-border transactions in the advanced manufacturing sector. We are delighted to have supported MonsterCAM on the acquisition and wish the business every success as it continues to expand its presence across Europe."
Nick Phelps, founding director of MonsterCAM, commented: "It has been a real pleasure working with the Gowling WLG team. Their support was instrumental in guiding us through the challenges of our first cross-border M&A transaction."
