Ayr and Liberty Health close plan of arrangement

On February 26, 2021, Ayr Wellness Inc. (CSE: AYR.A) (OTCQX: AYRWF) ("Ayr") and Liberty Health Sciences Inc. (CSE: LHS) (OTCQX: LHSIF) ("Liberty") announced that they had completed the previously announced arrangement under the provisions of the Business Corporations Act (British Columbia), pursuant to which, among other things, Ayr has acquired all of the common shares of Liberty.

Ayr is an expanding vertically integrated, U.S. multi-state cannabis operator, focused on delivering the highest quality cannabis products and customer experience throughout its footprint. Liberty is the cannabis provider committed to providing a high-quality cannabis experience based on our genuine care for all cannabis users and a focus on operational excellence from seed to sale.

Peter Simeon and Jacob Cawker of Gowling WLG advised one of the selling shareholders of Liberty with respect to this transaction.
