IPOs and Re-admissions

AURRIGO INTERNATIONAL PLC

Advised a leading international provider of transport technology solutions on its successful placing and admission to trading on the AIM market of the London Stock Exchange. The Company has successfully raised gross proceeds of £8m in total and achieved market capitalisation of approximately £20m.

SHORE CAPITAL GROUP / H&P ADVISORY

Advised Shore Capital Group (nomad and joint broker) and H&P Advisory (joint broker) on i (x) Net Zero plc's admission to AIM and associate placing, subscription and Primary Bid retail offer of £10.7m.

STRAND HANSON LIMITED / PETERHOUSE CAPITAL LIMITED

Advised Strand Hanson Limited (financial adviser) and Peterhouse Capital Limited (broker) on Critical Metal plc's readmission to listing on the Official List (standard segment) and simultaneous placing to raise £1.8m.

Secondary fundraises

AFRITIN MINING LIMITED

Advised the African tech-metals mining company with a strong portfolio of mining and exploration assets in Namibia on a $22.8m placing and subscription.

PYX RESOURCES LIMITED

Advised the dual listed (LSE/NSX) producer of premium zircon in Indonesia on securing a £20m investment commitment from alternative investment firm GGY Global Yield LLC SCS (GEM).

HORIZONTE MINERALS PLC

Advised the dual listed (AIM/TSX) mining company on a conditional raise of US$80m for the further development of its Araguaia nickel project in Brazil.

Canaccord Genuity Limited / Sprott Capital Partners LP

Advised Canaccord Genuity Limited and Sprott Capital Partners LP as joint bookrunners on the mining development and exploration company Greatland Gold PLC's US$35m cashbox placing.

H&T GROUP PLC

Advised the UK's largest pawnbroker and a leading retailer of high quality new and pre-owned jewellery and watches on its £16.9m fundraising.

CENKOS SECURITIES PLC

Advised Cenkos Securities plc as bookrunner and broker on a conditional placing to raise £9m for the specialist service provider MJ Hudson Group plc.

SHORE CAPITAL GROUP LIMITED / BADEN HILL

Advised Shore Capital Group Ltd (nomad and joint broker) and Baden Hill (joint broker) on a placing to raise £9.1m and an open offer to raise a further £2.9m for AIM quoted company Oxford BioDynamics plc.

WH IRELAND LIMITED / SHORE CAPITAL STOCKBROKERS

Advised WH Ireland Limited and Shore Capital Stockbrokers as joint brokers on Orcadian Energy plc's £1m placing.

FINNCAP GROUP PLC / ALLENBY CAPITAL

Advised finnCap Group plc and Allenby Capital as joint bookrunners on Hardide plc's fundraising of approximately £0.5m through a placing by way of an accelerated bookbuild and a subscription.

DOWGATE CAPITAL LIMITED

Advised Dowgate Capital Limited as broker to OpenDialog AI Limited on a £4m private fundraise.

Mergers and acquisitions

BLOCKCHAIN COINVESTORS ACQUISTION CORP (BCSA)

Advised BCSA with respect to a deal to acquire financial technology company Qenta Inc for US$622m, working closely with co-counsel lead firms Pillsbury Winthrop Shaw Pittman LLP and Perkins Coie LLP.

KANABO GROUP PLC

Advised pan-European medical cannabis company Kanabo Group Plc on its £13.5m acquisition of The GP Service Limited, a UK based private primary care telemedicine provider.

H&T GROUP PLC

Advised H&T Group plc on its acquisition of watch servicing and repair centre, Swiss Time Services Limited, for £4.3 million.

ALICE CASTLE LIMITED

Advised the shareholders of Alice Castle Limited on the sale of the whole of the issued share capital of Alice Castle to the Ardonagh Group, the UK's largest independent insurance broker.

REVOLUTION BARS GROUP

Advised Revolution Bars Group, the premium bar owner, on its acquisition of the entire issued share capital of The Peach Pub Company (Holdings) Limited for £16.5m.

ODYSSEY INNS LIMITED

Advised Odyssey Inns Limited on its purchase of the UK operations of Lion, a leading beverages company headquartered in Australia.

NORDIC CONSULTING PARTNERS INC.

Advised health and technology consulting company Nordic Consulting Partners Inc. on its acquisition of Hygeian, a healthcare consulting company with clients across the UK and the Middle East.

THAKEHAM HOMES LIMITED

Advised South East-based community creator Thakeham Homes Limited on the purchase of land at West Horsley, Surrey in a joint venture with Abri, one of the south's largest housing providers.

REORG RESEARCH INC.

Advised Reorg Research Inc., a global provider of financial and legal intelligence and data, on its acquisition of FinDox Inc., a leading document, compliance and data management provider.

PRIMA REGULATED MARKETS LIMITED

Advised shareholders of PRIMA Regulated Markets Limited on the sale of their shares to data consulting firm ResourceWise.
