Carolin Glaenzel

Bio

Carolin is a Banking & Finance lawyer in the Corporate, Finance and Tax practice group in our Frankfurt office. She specialises in banking and, in particular, in structured finance transactions.

Her clients include credit institutions, debt funds and insurance companies as lenders as well as private equity investors and corporates as borrowers. She advises clients in the context of the origination, syndication, securitisation and restructuring of national and cross-border real estate, acquisition, corporate and project finance transactions.

Prior to joining us, she worked in the banking teams of major global law firms in Frankfurt and Munich. She was also seconded to the legal department of a leading British bank in London.

Expérience

Advised a UK investor as borrower on the financing of the acquisition of three logistics properties as part of a sale and leaseback transaction from a leading European distributor of lighting fixtures.
Advised the German senior lenders on the restructuring of a €250 million senior and mezzanine secured promissory note loan for the project development of a new city district in East Germany.
Advised a German asset manager as borrower in several cross-border property financings in Europe.
Advised several international debt funds as lenders on the origination and restructuring of whole loan and mezzanine financings of real estate of various asset classes.
Advised an Austrian bank as lender on the origination and restructuring of several senior secured real estate financings in Germany with a senior and mezzanine structure.
Advised a German bidder on the acquisition of a real estate backed NPL portfolio across Europe.
Advised a Canadian borrower and its German subsidiaries on an asset-based lending financing with a Canadian bank.
Advised a Switzerland based private equity house in relation to the acquisition financing of a life sciences business in Germany, as well as ongoing amendment, waiver and consent advice.
Advised a leading UK provider of waste management and recycling services as borrower and its private equity investor on the acquisition financing of a leading German provider of technology-based reverse engineering solutions involving 10 jurisdictions.
Advised a US-American private equity investor on the financing of its add-on acquisitions in Europe and the granting of new and confirmatory German collateral.
Advised a German start-up as borrower of a venture debt financing with a Canadian bank as lender on its first venture debt transaction in Germany.
Advised a French debt fund as lender on the financing of the construction of EV charging, renewable energy as well as BESS projects in Germany.
Advised a German joint venture partner as borrower on the financing of a PV power plant in the Netherlands with a German bank as lender.
