Gerald Caseley

Gerald Caseley is an associate in Gowling WLG's Waterloo Region office. Gerald has an array of experience in dealing with a broad range of legal matters that businesses deal with both operationally and when encountering milestone events. Gerald's practice focuses on using his combined legal and business experience to practically and efficiently assist his clients in achieving their respective goals.

Gerald has acted for both the issuer and investor within a variety of domestic and foreign investment transactions, as well as the buyer and seller in M&A transactions.

Gerald has experience advising on, setting up and completing a variety of commercial activities and arrangements designed to scale with the organization with profitability in mind. Such activities include partnerships, licensing, joint development, research and development, commercialization, sales processes and product development, with a wide range of foreign and domestic businesses, including startups, universities and Fortune 500 companies.

Before joining Gowling WLG, Gerald acted as the Director of Business & Legal Affairs for an industry leading MedTech company and prior to that worked in private practice for a nationally recognized firm.

Corporate: Acted as buyer and seller in several M&A transactions. Acted as issuer and investor in several investment transactions. These transactions include both domestic and cross-border transactions. Acted for the issuer in a $16M Series A round of financing. Acted for the buyer in a $10M MedTech company acquisition. Acted for the investor by advising on and acting as a legal central point of contact in a restructuring and investment in an EU based software company. Acted for the seller in an acquisition of an industry leading technology company to a prominent software focused private equity buyer - the transaction valued at over $200M.

Commercial: Structured, advised on, and/or managed a number of commercial legal and business projects, including licensing arrangements, joint development projects, partnerships, distribution arrangements, research/development/commercialization arrangements with a diverse set of parties involving start-ups, universities, government agencies and fortune 500 companies.

Tech/Artificial Intelligence (AI): Acted as strategist and coordinator of several intellectual property assets including patents, copyrights, trademarks and trade secrets. Advised on, structured and managed the legal aspects in a number of tech based R&D and commercialization projects that included the creation and development of software incorporating artificial intelligence components using machine learning and neural network based approaches. Advised on, structured and managed arrangements to facilitate the transfer, annotation and use of general and sensitive data within an organization for a variety of uses including product development, within the context of and compliance with, a number of domestic and foreign privacy legislation.
