Siân Dewing

Siân Dewing is a London-based principal associate in the corporate team, advising predominantly private companies on a broad range of corporate matters, including mergers and acquisitions, joint ventures, venture capital, private equity and general corporate law matters. Siân also has experience of assisting clients with IPOs, both on AIM and the Main Market, as well as assisting listed companies with secondary fundraisings through placings and offers for subscription.

Siân enjoys getting to know her clients' businesses and works closely with clients to provide thorough and practical advice to help clients achieve their ambitions.

Mergers and Acquisitions (M&A)

  • Acted for Montreux Healthcare Fund on its acquisition of Independence Homes Limited, the foremost epilepsy care provider in the UK, through its platform asset Active Assistance, a leading UK complex care specialist.
  • Acted for the sole shareholder of Inform Information Systems Limited - known commercially as 'FuelsPricing', a leading independent provider and integrator of retail and wholesale fuel pricing software solutions, on its acquisition by Professional Datasolutions, Inc., a Genstar Capital and TA Associates portfolio company.
  • Acted for multiple shareholders in relation to the sale of an SPV which owned freehold land on a commercial property development site in Harlow.
  • Acted for a UK Wind Farm developer on a group re-organisation involving overseas subsidiaries.
  • Acted for a property development company on its joint venture with a registered social housing provider in respect of the development of approximately 600 dwellings, associated infrastructure and other buildings near Crawley.

Private Equity and Venture Capital

  • Acted for NVM Private Equity (NVM) on its £7 million investment into Chemigraphic, the leading provider of Electronic Manufacturing Services (EMS) to the fast-growth medical technology, defence and power systems sectors.
  • Acted for a PropTech company on a £1 million EIS fundraising from HNW and sophisticated investors.

Equity Capital Markets (ECM)

  • Acted for Phoenix Global Mining Limited in respect of a Placing and Offer for Subscription to raise in aggregate £3 million.
  • Acted for a fryer management services company with operations in both the UK and US in relation to its admission to AIM and an associated placing of £6.2 million.
