Corporate Infrastructure team advises shareholders on the disposal of UDlive Limited to Badger Meter, Inc.
Our Corporate Infrastructure team has advised shareholders of UDlive Limited, a UK-based provider of sewer line monitoring technology, on its disposal to Badger Meter, Inc.
Badger Meter has announced that it has entered into a definitive agreement to acquire UDlive for US$100 million, plus contingent consideration, in a transaction expected to complete at or around the end of April 2026. Funded through existing Badger Meter cash resources, the acquisition will see UDlive become part of Badger Meter's BlueEdge suite of water management solutions, alongside its SmartCover offering, strengthening the group's global sewer line monitoring capabilities.
Founded in 2017, UDlive delivers hardware-enabled software solutions combining low‑power water level sensors with proprietary visualisation and analytics software. The business has established a leading market position in the UK and reported revenues of US$22 million in the financial year ended 28 February 2026.
The Gowling WLG transaction team was led by Partner and Global Co-lead of the Energy, Nuclear, Natural Resources and Infrastructure (ENNRI) Sector, Gareth Baker, working with Corporate Team Principal Associates Alex Farrow and Siân Dewing, Associates Ruairi O'Grady and Christy Morgan, Trainee Solicitor Matilda Pratt, Corporate Tax Partner Kate Featherstone and Corporate Tax Associate Michael Hansby. The wider team included Partners Ian Piggin, Jocelyn Paulley, John Coldham, Loretta Pugh and Samuel Beighton; Directors Eleanor Lamb, Hannah Swindle and Susannah Fink; Principal Associates Alex Gill, Emma Bufton, Siân Williams, Stephen White and Zoe Pearman; Senior Associate Karin Krishnan; and Associates Ella O'Donoghue, Emily Carrington and Olivia Gissel.

Their approach was hands-on, collaborative and measured, with advice that was consistently clear and commercially focused. We are delighted the transaction has been delivered smoothly and within the required timeframe.”
