Frank Y. Sur

Frank Sur is a partner of Gowling WLG, practising in the areas of mergers and acquisitions, capital markets, and corporate commercial, with a focus in technology, energy and mining sectors.

He has extensive experience in the following areas:

  • Mergers and acquisitions of both public and private companies (plans of arrangement, share acquisitions, take-over bids and asset purchase and sales)
  • Public and private financings (debt and equity, including initial public offerings)
  • Advising on listing and exchange compliance matters, and corporate governance and regulatory compliance matters
  • Advising on general commercial agreements in technology, energy (non-renewable and renewable, including hydrogen) and mining sectors

Fluent in Korean, Frank has represented a number of Korean-based companies - as well as numerous international companies based in China and other parts of Asia - in various transactions over the years. Having advised on a large number of cross-border transactions, he has represented many international companies on financings, mergers and acquisitions, and strategic partnerships.

Externally, Frank is a member of the Inter-Pacific Bar Association, American Bar Association, International Association of Korean Lawyers and Canadian Chamber of Commerce in Korea. Internally, Frank is the Co-Head of the Korea Desk, Co-Head of the China Practice Group for the Calgary office and is an active member of the Corporate Practice Group, Hydrogen Group, Fintech Group, Cannabis Group  and Japan Desk.

  • Represented a publicly traded oil and gas company in connection with its plan of arrangement with a publicly traded oil and gas royalty trust for a total transaction value of approximately $92.2 million.
  • Represented a publicly traded international oil and gas company in connection with its "butterfly" corporate re-organization by way of plan of arrangement.
