Karen M. Ethier

Karen Ethier is a law clerk in the Business Law Group of Gowling WLG's Ottawa office. Karen has over 30 years of corporate and commercial experience with a particular focus on the not-for-profit sector. Karen deals with all aspects of creating, organizing and maintaining not-for-profit incorporations, including the preparation of unanimous members' agreements and applications for charitable status. She acts as corporate secretary and advises on governance issues to a wide range of not-for-profit entities.

In addition to her not-for-profit experience, Karen is also skilled in due diligence reviews, asset/share purchase and sale transactions, financings, corporate and tax re-organizations, incorporation, amendments, dissolution, amalgamation, continuance, revivals, and extra-provincial registrations.

As a senior law clerk, Karen has extensive experience in corporate governance, drafting documents, managing transactional files, attending to closing transactions and preparing final reports.

Karen enjoys maintaining close working relationships with clients, accountants and legal counsel; as a result, she manages client files on an efficient and cost-effective basis.

Karen's involvement in industry and community initiatives includes:

  • Author and grader of the 2017 and 2018 Institute of Law Clerks of Ontario corporate law exam
  • Active on the Programming Committee for the Ottawa Institute of Law Clerks
